BUSINESS REPORT CHANGES — GENERAL BUSINESS AGREEMENT

This Agreement is entered into by and between:

Recitals

WHEREAS, Company maintains an official business report on file with Recipient identifying the Company's legal name, registered office, officers, and principal activities; and

WHEREAS, Company desires to effect certain changes to the information contained in that business report and Recipient administers or accepts updates to such reports; and

WHEREAS, the parties desire to record the changes, allocate responsibilities for processing, and establish payment, confidentiality and governing law terms for the amendment of the business report.

Scope of Work

The Recipient shall process and record the changes identified above in accordance with the Recipient's standard procedures. The Recipient's obligations are limited to administrative processing and do not include legal advice regarding the sufficiency or legal effect of the changes.

Payment Terms

Company shall pay Recipient fees for processing the requested changes as described below. All fees are exclusive of any taxes or governmental filing fees unless otherwise stated.

Term and Termination

This Agreement is effective as of the Start Date and shall continue in effect until the End Date or until the parties have completed the services described in the Scope of Work, unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate for material breach if the breach remains uncured for a period of 30 days after written notice of such breach.

Confidentiality

Each party acknowledges that during the performance of this Agreement it may receive or have access to confidential information of the other party. "Confidential Information" shall mean non-public information that a reasonable person would deem confidential. Each party shall: (a) maintain the confidentiality of Confidential Information with at least the same degree of care it uses to protect its own confidential information; (b) use Confidential Information only for the purposes of performing this Agreement; and (c) not disclose Confidential Information to any third party except to employees or contractors who have a legitimate need to know and who are bound by confidentiality obligations no less protective than those set forth herein. Confidential Information does not include information that is or becomes publicly available without breach of this Agreement, is rightfully obtained from a third party, or is independently developed without use of the other party’s Confidential Information.

Representations and Certifications

Company certifies that the authorized representative signing below has the authority to request and authorize the changes described herein, and that the information and supporting documentation provided are true, accurate, and complete to the best of Company's knowledge. Company acknowledges that Recipient may rely on this certification in processing the requested changes and that false statements may expose the signer to civil or criminal liability under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law provisions. Any legal action related to this Agreement shall be brought exclusively in the state or federal courts located within that state.

Entire Agreement

This Agreement, together with any attachments, exhibits or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. Any modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Severability and Remedies

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. The parties agree that monetary damages may be inadequate to remedy certain breaches and that equitable relief, including injunction, may be appropriate in addition to any other remedies available at law or equity.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses listed above or to such other address as either party may designate by written notice to the other, and shall be deemed given when delivered personally, sent by reputable overnight courier, or three business days after deposit in the U.S. mail, postage prepaid, certified or registered mail.
