BUSINESS REPORT ECS

This Business Report Engagement Agreement (the Agreement) is made between Client Name: and Service Provider: .

WHEREAS

WHEREAS, Client requires a comprehensive business report and analysis identified as "ECS" to support strategic decision-making, operational planning, and regulatory documentation; and

WHEREAS, Service Provider has represented that it has the skills, personnel, and experience to prepare the Business Report ECS and deliver the services described in this Agreement; and

WHEREAS, the parties wish to set forth the terms and conditions under which Service Provider will prepare, deliver and, if required, present the Business Report ECS to Client.

REPORT IDENTIFICATION

SCOPE OF WORK

Service Provider shall provide professional services to prepare the Business Report ECS in accordance with the scope described below. The scope includes research, data analysis, compilation of findings, recommendations, and delivery of the final report and any agreed presentations.

PAYMENT TERMS

Client shall pay Service Provider for services rendered according to the terms set forth below. Fees listed are exclusive of any applicable taxes unless otherwise stated.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until completion of the services or End Date, unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above. Termination shall not relieve Client of the obligation to pay for work performed to the date of termination, including pro rata fees for partially completed milestones.

CONFIDENTIALITY

Each party acknowledges that during the performance of this Agreement it may receive Confidential Information from the other party. "Confidential Information" means non-public information of a party that is designated as confidential or that reasonably should be understood to be confidential.

Recipient shall: (a) hold Confidential Information in strict confidence and use no less than a reasonable standard of care to protect such information; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) not disclose Confidential Information to any third party except as necessary to perform this Agreement and subject to written confidentiality obligations no less protective than those herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or schedules expressly incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or reputable overnight courier, and shall be deemed given upon receipt.

ADDITIONAL PROVISIONS

Independent Contractor. Service Provider is an independent contractor and neither party shall be deemed an employee, agent, or partner of the other for any purpose. Service Provider is responsible for all employment taxes and benefits for its personnel.

Liability. Except for willful misconduct or gross negligence, neither party shall be liable to the other for indirect, incidental, special, or consequential damages. Each party's aggregate liability under this Agreement shall be limited to the total fees paid by Client to Service Provider under this Agreement.
