WHEREAS

WHEREAS, Client engages Provider to prepare a business report addressing operational performance, market observations, and recommended actions (the "Report"), and Provider represents that it possesses the requisite skills, personnel and experience to prepare and deliver such Report in accordance with the terms of this Agreement;

WHEREAS, the parties desire to set forth the scope, deliverables, payment terms, confidentiality obligations and other terms governing the preparation and delivery of the Report; and

WHEREAS, the parties intend that this Agreement shall constitute a binding contractual relationship upon execution by authorized representatives of each party.

SCOPE OF WORK

PAYMENT TERMS

Client shall pay Provider for the services and deliverables described above in accordance with the following terms.

All fees are exclusive of applicable taxes. Provider shall invoice Client in accordance with the Payment Schedule; Client shall pay undisputed invoices in cleared funds within the invoice terms. Late payments shall accrue interest as specified above and Provider may suspend delivery of further deliverables for invoices unpaid after sixty (60) days following written notice.

TERM AND TERMINATION

This Agreement commences on Start Date: Day: Month: Year: and continues until End Date: Day: Month: Year: unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Client of the obligation to pay for work completed and expenses reasonably incurred through the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public business, technical or financial information disclosed by one party ("Discloser") to the other ("Recipient") that is designated as confidential or by its nature would reasonably be considered confidential. Recipient shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) protect Confidential Information using no less than a reasonable standard of care; and (c) not disclose Confidential Information to third parties except as necessary to perform the Agreement and only with written confidentiality obligations at least as protective as those herein. The foregoing obligations do not apply to information that is or becomes publicly available through no fault of Recipient, rightfully received from a third party without obligation of confidentiality, independently developed, or required to be disclosed by law, provided Recipient gives Discloser prompt written notice of such requirement and cooperates with Discloser to seek protective relief.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes by negotiation; if unresolved within thirty (30) days, either party may seek relief in the courts of competent jurisdiction in the specified state.

LIMITATION OF LIABILITY

Except for liability arising from a party's willful misconduct or breach of its confidentiality obligations, in no event shall either party be liable to the other for indirect, incidental, consequential, punitive or special damages, and each party's aggregate liability for any claim arising under or relating to this Agreement shall not exceed the total fees actually paid by Client to Provider under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments and the agreed Scope of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, agreements and communications, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

Provider shall perform services as an independent contractor. Nothing in this Agreement creates an employment, partnership or joint venture relationship. Each party shall comply with applicable laws in connection with performance of this Agreement. Provider shall maintain appropriate insurance for the services performed.
