BUSINESS REPORT RESULTS

Parties and Identifying Information

This Business Report Results and Service Agreement (the Agreement) is entered into as of by and between ("Provider") and ("Client").

WHEREAS

WHEREAS, Provider possesses expertise in the analysis of business operations, financial performance, and strategic planning, and has prepared a written report presenting findings and recommendations (the Report) for the Client; and

WHEREAS, Client desires to receive, review, and rely upon the Report and agrees to compensate Provider in accordance with the Payment Terms set forth herein; and

WHEREAS, the parties intend for the Report and this Agreement to constitute a binding statement of the Report results, associated services, and the terms of engagement.

Scope of Work

Provider certifies that the Scope of Work set forth above was completed in accordance with generally accepted professional standards and the methodologies described in the Report. Any deviations or limitations affecting the results are described within the Report.

Payment Terms

Invoices are payable within days of issuance. Unpaid amounts shall bear interest at from the due date until paid. Client shall reimburse Provider for reasonable collection costs and legal fees incurred in enforcing payment.

Term and Termination

This Agreement commences on and continues until , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the effective date of termination. Termination for cause may be effected immediately upon material breach if the breaching party fails to cure within 14 days after written notice of breach. Upon termination, Client shall pay Provider for all Services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party shall treat as confidential all non-public information and materials disclosed by the other party in connection with the Report and Services, whether oral, written, or electronic. Confidential information shall not include information that: (a) is already known by the receiving party without breach of obligation; (b) is or becomes publicly available through no fault of the receiving party; (c) is lawfully obtained from a third party not bound by confidentiality; or (d) is independently developed without use of the disclosing party’s confidential information.

The receiving party shall use confidential information only to exercise rights and perform obligations under this Agreement and shall limit access to those personnel with a need to know. Notwithstanding the foregoing, Provider may include anonymized and aggregated data derived from the Report in its internal records, marketing materials, or future reports provided no Client-identifying information is disclosed.

Limitations and Reliance

The Report reflects Provider’s professional analysis based on information made available by Client and reasonable assumptions identified in the Report. Provider makes no warranty as to future results and shall not be liable for Client decisions made in reliance on the Report except to the extent caused by Provider’s gross negligence or willful misconduct. Client acknowledges that the Report is not a substitute for legal, tax, or accounting advice.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflict of law principles. The parties agree that any dispute arising out of or relating to this Agreement shall be resolved first by good faith negotiation between senior representatives. If negotiation fails, disputes shall be resolved by binding arbitration conducted in the aforementioned jurisdiction under commercially reasonable arbitration rules.

Entire Agreement

This Agreement, together with the Report and any attachments expressly incorporated herein, constitutes the entire agreement of the parties regarding the subject matter and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Acknowledgement
