WHEREAS, Report Provider is engaged in the business of preparing analytical, financial, operational or compliance reports and has prepared a written report described in this Statement (the "Report") for Recipient in connection with Recipient's business operations, projects, or transactions;

WHEREAS, Recipient has requested and Provider has agreed to furnish the Report subject to the terms and conditions set forth in this Business Report Statement, including payment and confidentiality obligations; and

WHEREAS, the parties intend that the Report and any related deliverables be used solely for the purpose set forth in this Statement and that each party make certifications and assume responsibilities as set forth below.

All amounts are payable in lawful currency of the jurisdiction specified below. If any fee is not paid within the time required by the payment schedule, Provider may suspend delivery of further work after providing written notice and an opportunity to cure of days.

Either party may terminate this Statement for convenience upon written notice to the other party delivered not less than days prior to the effective date of termination. Termination for material breach is permitted where the breaching party fails to cure a breach within days after written notice specifying the breach. Termination shall not relieve Recipient of obligation to pay for work performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party shall keep confidential all nonpublic information disclosed in connection with the Report and shall not disclose such information to any third party except as required by law or with the prior written consent of the disclosing party. Confidential information does not include information that is (a) publicly available through no breach hereof, (b) rightfully received from a third party without restriction, or (c) independently developed by the receiving party without use of the disclosing party's confidential information.

Confidentiality Period: from the date of delivery of the final Report.

REPRESENTATIONS AND WARRANTIES

Report Provider represents that the Report will be prepared with commercially reasonable skill and care in accordance with prevailing professional standards applicable to the type of reporting performed. Recipient represents that it has provided all information reasonably required for Provider to prepare the Report and that such information is accurate to the best of Recipient's knowledge.

LIMITATION OF LIABILITY

Except for liability resulting from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, special, or punitive damages. The aggregate liability of Provider for claims arising out of or related to this Statement shall not exceed the total fees paid by Recipient to Provider under this Statement.

GOVERNING LAW

This Statement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Statement, together with any attachments or exhibits specifically incorporated by reference and any written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.
