BUSINESS REPORT SUMMARY

This Business Report Summary and Agreement (the Agreement) is made effective as of by and between Client Name: and Consultant Name: .

WHEREAS

WHEREAS, the Client has requested that the Consultant prepare a business report summarizing operational performance, key findings, and actionable recommendations for the Client's business activities for the reporting period specified herein; and

WHEREAS, the Consultant has represented that it possesses the technical skill, experience, and personnel necessary to perform the analysis and deliver the report described in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which the Consultant will prepare, deliver, and transfer the Business Report Summary to the Client.

SCOPE OF WORK

The Consultant shall perform the services described above, which shall include data collection, interviews, quantitative and qualitative analysis, preparation of written findings, and presentation of recommendations. Deliverables shall be provided in the format specified in the Scope of Work and shall include one electronic copy and one printed copy if requested by the Client.

PAYMENT TERMS

Invoices shall be issued in accordance with the Payment Schedule. Unless otherwise agreed in writing, invoices are due within days of receipt. Late payments shall accrue the Late Fee stated above and the Client shall be responsible for collection costs incurred by the Consultant.

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and continue through the End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the effective termination date. Either party may terminate immediately for material breach which remains uncured for 15 days after written notice of breach.

CONFIDENTIALITY

The parties acknowledge that in the course of performance, each party may have access to Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each receiving party shall: (a) hold Confidential Information in strict confidence and use it solely to perform under this Agreement; (b) restrict disclosure to employees, agents, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein; and (c) take reasonable steps to prevent unauthorized use or disclosure. Confidential Information does not include information that is or becomes generally available to the public other than through a breach of this Agreement, was known to the receiving party prior to disclosure, or was independently developed without use of the disclosing party’s Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The parties irrevocably submit to the exclusive jurisdiction of the courts located in that state for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including all attachments and exhibits referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.
