SCOPE OF WORK

The Reporting Party shall prepare and deliver business reports in accordance with the specifications below. Reports shall include described metrics, commentary, and any required attachments. All work shall be performed in a professional manner consistent with industry standards and the schedules below.

PAYMENT TERMS

The Client shall compensate the Reporting Party as follows. All amounts are payable in the currency agreed below and exclusive of applicable taxes unless otherwise stated.

If payment is not received within days of invoice, a late fee of per month shall accrue on the outstanding balance.

TERM AND TERMINATION

This Business Reporting Form commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon written notice delivered at least days prior to the intended termination date. Termination for material breach is effective upon written notice if the breaching party fails to cure within 30 days following receipt of written notice of such breach.

CONFIDENTIALITY

"Confidential Information" means nonpublic business, technical, financial or other information disclosed by one party to the other that is designated as confidential or that a reasonable person would understand to be confidential under the circumstances. The Receiving Party shall (a) use Confidential Information only to perform obligations under this Form; (b) restrict disclosure to employees and agents who have a need to know and who are bound to confidentiality obligations no less protective than those herein; and (c) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

The obligations in this section survive termination or expiration of this Business Reporting Form for years, except with respect to information that enters the public domain through no fault of the Receiving Party or that is required to be disclosed by law or court order.

GOVERNING LAW

This Business Reporting Form shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Venue for any dispute arising out of or relating to this Form shall lie exclusively in the competent state or federal courts located in that State.

ENTIRE AGREEMENT

This Business Reporting Form, including any attachments and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals or communications, whether written or oral.
