WHEREAS, the parties desire to memorialize the scope, deliverables, payment terms, confidentiality obligations and governing law applicable to such reporting services.

Invoices shall be submitted in writing by Provider and are payable by Recipient within the payment period specified above. Disputed amounts must be notified within ten (10) business days of invoice receipt and shall not relieve Recipient of timely payment of undisputed amounts.

Termination by Notice: Either party may terminate this Agreement without cause upon days' written notice to the other party. Termination for material breach is permitted where the breaching party fails to cure within thirty (30) days of written notice of breach.

Confidentiality

Each party shall treat as Confidential Information all non-public information disclosed by the other party in connection with this Agreement, including reports, underlying data, analyses and recommendations. Confidential Information shall not be disclosed to third parties except (i) as required by law, (ii) to professional advisors bound by confidentiality, or (iii) with the disclosing party's prior written consent. Confidentiality obligations shall survive termination of this Agreement for years; provided, however, that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This document, together with any attached appendices and accepted statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written agreements and understandings. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

Additional Provisions

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

Liability: Each party's liability for direct damages arising out of this Agreement shall be limited to the fees paid or payable under this Agreement in the twelve (12) month period preceding the event giving rise to the claim. In no event shall either party be liable for consequential, incidental or punitive damages.
