Recitals

WHEREAS, Client desires to engage Representative to perform business representation services as described herein, and Representative has the expertise and capacity to provide such services under the terms of this Agreement; and

WHEREAS, the parties intend to set forth the scope of services, payment terms, confidentiality obligations, and other material terms governing the relationship between Client and Representative.

If any payment due hereunder is not received by Representative within days after written notice, Client shall pay interest at a rate of on the overdue amount, together with all reasonable collection costs, including attorneys' fees.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination for material breach shall be effective upon written notice if the breaching party fails to cure within days after receipt of notice specifying the breach.

Confidentiality

Each party (the "Receiving Party") acknowledges that in the course of performance it may receive or have access to confidential information of the other party (the "Disclosing Party"). The Receiving Party shall (a) hold such information in strict confidence; (b) not disclose such information to any third party except as required to perform under this Agreement and subject to confidentiality obligations at least as protective as those set forth herein; and (c) use such information solely for the purposes of performing its obligations under this Agreement. Confidential information shall not include information that is publicly available through no fault of the Receiving Party or that is independently developed without use of the Disclosing Party's confidential information.

Upon termination or expiration of this Agreement, the Receiving Party shall promptly return or certify destruction of all Confidential Information received from the Disclosing Party, except to the extent retention is required by law or for record-keeping and billing purposes, in which case such retained information shall remain subject to the confidentiality obligations herein.

Representations and Warranties; Indemnification

Each party represents and warrants that it has the full right, power and authority to enter into this Agreement and to perform its obligations hereunder. Representative warrants that services will be performed in a professional manner consistent with generally accepted industry standards. Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims arising from the indemnifying party's breach of this Agreement, negligence or willful misconduct; provided that the indemnified party gives prompt written notice of any claim and cooperates in the defense.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to principles of conflicts of laws. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Agreement.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment to this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.
