What the Business Representations Certifications Form Is

The Business Representations Certifications Form is a signed declaration by a business that confirms legal status, authority to contract, representations about taxes and compliance, and other factual statements required by a counterparty or government agency. It commonly appears with procurement, contracting, grant, and vendor onboarding processes to document that the signer has authority and that the business meets stated requirements. The form typically combines checkboxes, attestation statements, and signature blocks to create a verifiable record used for due diligence, audit trails, and contract formation.

Why this form matters in contracts and compliance

A completed Business Representations Certifications Form creates a clear, attributable record of material facts that counterparties rely on for risk assessment, regulatory compliance, and contract acceptance. It reduces ambiguity about authority and legal status and supports auditability in later reviews.

Why this form matters in contracts and compliance

Who commonly completes and reviews this form

Typical users include procurement teams, contract administrators, corporate counsel, and vendor compliance officers who need formal attestations before approving a supplier or signing an agreement.

  • Procurement and sourcing teams who need vendor attestations for onboarding and contract award decisions.
  • Legal and compliance teams who verify authority, tax status, and regulatory representations before execution.
  • Vendor or supplier administrators who submit the form to receive approval or payment.

Reviewers should ensure signatory authority and supporting documentation are present; incomplete or unsigned forms delay processing and may trigger additional verification steps.

Who is authorized to sign

Authorized Officer

An officer with corporate authority (CEO, CFO, President) signs when the certification requires corporate representation. Provide a role and copy of board resolution when requested to confirm signing authority.

Registered Agent

A registered agent or designated signatory may sign if the corporate records delegate authority. Attach written delegation or power of attorney to avoid later disputes about authority.

  • Signing by an unauthorized person without board resolution or power of attorney documentation.
  • Omitting required attachments such as a current W-9 or corporate resolution when the form asks for them.
  • Failing to notarize when the form or counterparty explicitly requires a notarial acknowledgment.

Consequences of incorrect or false certifications

Tax Withholding: Incorrect TIN can trigger 24% backup withholding (IRC rules).
Contract Risk: False representations may be grounds for termination or indemnity claims.
Regulatory Exposure: Misstatements about sanctions or export controls can lead to enforcement actions.
Financial Penalties: Civil penalties may apply for intentional misrepresentation depending on statute.
Delays: Incomplete forms cause onboarding and payment processing delays.
Criminal Liability: Willful false statements on government-related certifications can trigger criminal charges.
