This Business Request and Services Agreement (the Agreement) is entered into as of by and between:

Recitals

WHEREAS, Company desires to obtain certain business analysis, specifications, and related services necessary to define requirements for a business initiative and to procure the Provider's performance of such services; and

WHEREAS, Provider represents that it has the experience, personnel and capability to perform the services and deliverables described in this Agreement in accordance with the terms hereof; and

WHEREAS, the parties desire to set forth the terms, conditions, and obligations applicable to the Provider's performance and Company's payment for such services.

Scope of Work

Provider shall perform the services and produce the deliverables described below. Provider will perform such work in a professional and workmanlike manner consistent with industry standards and the specific requirements set forth in this Section.

Deliverables, acceptance criteria, and milestones shall be as set forth in the Scope of Work above and any attached schedules incorporated by reference. Changes to the Scope of Work shall be documented in a written Change Order signed by authorized representatives of both parties.

Payment Terms

In consideration for the services and deliverables, Company shall pay Provider as follows:

All fees are exclusive of applicable taxes, which shall be the responsibility of the party required by law to remit such taxes. Provider shall submit itemized invoices referencing the applicable milestone or deliverable. Company shall raise any dispute to an invoice in writing within ten (10) business days of receipt; undisputed amounts shall be due and payable under the terms set forth above.

Term and Termination

This Agreement will commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement immediately for material breach by the other party that remains uncured after thirty (30) days' written notice. Termination shall not relieve Company of the obligation to pay for services properly performed through the effective date of termination and any non-cancellable commitments incurred by Provider in performing the services.

Confidentiality

Each party (the Receiving Party) shall hold in strict confidence and not disclose to any third party any Confidential Information of the other party (the Disclosing Party) except as necessary to perform its obligations under this Agreement. Confidential Information includes non-public business information, specifications, business plans, pricing, and other material designated or reasonably understood to be confidential.

Obligations of confidentiality shall survive termination or expiration of this Agreement for the period specified above, except for Confidential Information that (a) is or becomes public through no wrongful act of the Receiving Party, (b) was rightfully received from a third party without restriction, or (c) is required to be disclosed by law or court order (provided notice is given to the Disclosing Party where practicable).

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State specified below, without regard to conflict of laws principles.

Entire Agreement

This Agreement, including the Scope of Work and any executed Change Orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification shall be binding unless in writing and signed by authorized representatives of both parties.

The parties acknowledge that they have read and understand this Agreement, and that they have had the opportunity to obtain independent legal advice prior to execution.
