TERM AND TERMINATION

This Request commences on Start Date: and shall continue in effect until End Date: unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon written notice to the other party delivered at least days prior to the intended termination date. Either party may terminate for cause upon material breach by the other party if such breach is not cured within days after written notice of the breach.

Upon termination, the Provider shall deliver all completed work and invoices for services performed to the date of termination, and the Client shall pay for all undisputed services performed through the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential Information does not include information that is (a) publicly known through no wrongful act of the receiving party, (b) rightfully received from a third party without restriction, or (c) independently developed by the receiving party without reference to the disclosing party's Confidential Information.

The receiving party shall: (i) use Confidential Information only for the purposes of performing under this Request; (ii) restrict disclosure to employees, contractors, and advisors who have a need to know and who are bound by confidentiality obligations no less protective than those hereunder; and (iii) take reasonable measures to protect the confidentiality of such information. Upon written request, the receiving party shall return or destroy Confidential Information as directed by the disclosing party.

GOVERNING LAW

This Request shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located within that State for any dispute arising out of or relating to this Request.

ENTIRE AGREEMENT

This Request, including any attachments or schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.
