Either Party may terminate this Request for material breach of these terms by the other Party upon written notice delivered in accordance with the notice provisions, provided that the breaching Party fails to cure the breach within Notice Period: days after receipt of such notice. Termination will not relieve Client of the obligation to pay for Services performed and expenses incurred prior to the effective date of termination.

Confidentiality

Each Party receiving Confidential Information from the other Party shall hold such information in strict confidence and shall not disclose it to any third party except as required by law or as necessary to perform this Request. Confidential Information shall include, without limitation, non-public business, technical, pricing, compliance, and assessment materials. The receiving Party shall take reasonable measures to protect Confidential Information, which shall not be less than the measures it uses to protect its own confidential materials of similar importance. Confidentiality obligations survive termination for a period of three (3) years, except for trade secrets, which shall remain protected for as long as they qualify as trade secrets under applicable law.

Governing Law

This Request shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located within that State for any dispute arising under or relating to this Request.

Entire Agreement

This Business Request for RRA, together with any attachments, appendices, and any written change orders signed by authorized representatives of both Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.
