Exceptions: Confidential Information does not include information that is (i) already known to the recipient without restriction at the time of disclosure; (ii) becomes publicly available through no fault of the recipient; or (iii) is independently developed without use of the disclosing party's Confidential Information. Required disclosures compelled by law shall be limited in scope and, where permitted, preceded by notice to the disclosing party.

Except as expressly provided in this Request, neither party makes any other warranties, and each party's liability shall be limited to direct damages up to the total fees paid under this Request, excluding liability for gross negligence, willful misconduct, or breach of confidentiality.

Entire Agreement and Amendments
