Business Request Model

This General Business Agreement ("Agreement") is entered into as of by and between Client Name: and Service Provider Name: .

Recitals

WHEREAS, Client maintains a business in which Client requires certain goods or services and desires to engage Provider to perform such services on the terms and conditions set forth herein; and

WHEREAS, Provider represents that it possesses the experience, personnel and capability to perform the services described in this Agreement and is willing to provide such services to Client in accordance with the terms below.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained in this Agreement, the parties agree as follows:

1. Scope of Work

Provider shall perform the services and deliverables described below in accordance with the schedule and acceptance criteria set forth by the parties.

2. Payment Terms

Client shall pay Provider for the services and deliverables in accordance with the amounts and schedule set forth below. All fees are payable in U.S. Dollars unless otherwise agreed in writing.

Overdue amounts shall incur interest at a rate of % per month or the maximum rate permitted by law, whichever is lower, calculated from the date payment was due until paid in full. Client shall also reimburse Provider for reasonable collection costs and attorneys' fees incurred to collect past due amounts.

3. Term and Termination

This Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this Section.

Upon termination for any reason, Provider shall deliver to Client all completed and in-progress deliverables, and Client shall pay Provider for services performed and non-cancelable obligations incurred through the effective date of termination. Termination shall not relieve either party of obligations accrued prior to termination.

4. Confidentiality

Each party (the "Receiving Party") shall hold in confidence and not disclose to any third party any Confidential Information disclosed by the other party (the "Disclosing Party"), nor use such Confidential Information except to perform its obligations under this Agreement. Confidential Information includes, but is not limited to, business plans, trade secrets, technical information, pricing and customer lists.

The Receiving Party may disclose Confidential Information to its employees, contractors, or advisors on a need-to-know basis provided such persons are bound by confidentiality obligations no less restrictive than those herein. Upon termination or request, the Receiving Party shall return or destroy Confidential Information as directed by the Disclosing Party.

5. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses specified below by hand, nationally recognized overnight courier, or certified mail (return receipt requested).

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for resolution of disputes arising under this Agreement.

7. Entire Agreement

This Agreement, including any schedules or exhibits attached hereto and any written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, negotiations and agreements, whether written or oral.

No amendment, modification or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument signed by both parties. If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

8. Representations and Warranties

Each party represents and warrants that it has the authority to enter into this Agreement and that performance hereunder will not violate any other agreement to which it is a party. Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards.
