Term and Termination

The term of this Notice begins on and continues until unless earlier terminated in accordance with the provisions below.

Either Party may terminate this Notice for material breach by the other Party that remains uncured after the notice period specified above. Termination shall not relieve either Party of obligations accrued prior to termination, including payment for services rendered.

Confidentiality

All non-public information disclosed by either Party in connection with this Notice, whether oral or written and designated as confidential or reasonably understood to be confidential, shall be held in confidence by the receiving Party. The receiving Party shall not disclose such Confidential Information to third parties except to its employees, agents, or contractors who have a need to know and are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that (a) is or becomes publicly available through no wrongful act of the receiving Party, (b) was rightfully in the receiving Party's possession prior to disclosure, or (c) is independently developed without use of the disclosing Party's Confidential Information.

The obligations under this Confidentiality provision survive termination of this Notice for a period of years.

Governing Law

This Notice shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law rules. The Parties submit to the non-exclusive jurisdiction of the courts located within that State for any disputes arising out of or relating to this Notice.

Entire Agreement

This Notice, together with any attachments or written exhibits expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and communications, whether written or oral. Any modification must be in writing and signed by authorized representatives of both Parties.
