Recitals

WHEREAS, Client requires the preparation, completion and delivery of certain business-required forms, filings and supporting documentation necessary for Client's lawful operation and administrative compliance; and

WHEREAS, Service Provider represents that it is qualified and experienced to prepare and deliver the requested business forms, to coordinate receipt of supporting documentation, and to undertake related administrative tasks on behalf of Client in accordance with the terms of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period specified above. Termination shall not relieve any obligation to pay accrued fees for services performed prior to termination.

Confidentiality

Each party acknowledges that during the performance of this Agreement it may receive confidential or proprietary information of the other party. "Confidential Information" includes nonpublic business information, trade secrets, client lists, financial data and any material identified as confidential. Each party agrees to (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to third parties except as required to perform under this Agreement or as required by law, and (c) use Confidential Information solely to perform its obligations hereunder. The obligations in this section survive termination of this Agreement for a period of three (3) years.

Representations and Warranties

Each party represents and warrants that it has the full right, power and authority to enter into and perform this Agreement, and that performance will not violate any agreement with a third party. Service Provider warrants that services will be performed in a competent and professional manner in accordance with industry standards.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to principles of conflicts of law.

Entire Agreement

This Agreement, including any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and executed by authorized representatives of both parties.
