Parties and Contact Information

Recitals

WHEREAS, Client Name: seeks to retain Provider to perform certain business services and to satisfy certain paperwork and compliance requirements; and

WHEREAS, Provider Name: has the expertise and capacity to prepare, collect and deliver the required documentation described in this Agreement; and

WHEREAS, the parties desire to document their respective rights and obligations with respect to the collection, preparation and delivery of business required paperwork effective as of Effective Date: .

Scope of Work

Provider shall prepare, complete and deliver the paperwork and documentation set forth below and perform related administrative services as reasonably requested by Client. The obligations include but are not limited to the items described in the Scope of Work field.

Payment Terms

Client shall pay Provider the fees set forth below in consideration of the services performed. Fees are non-refundable except as set forth in this Agreement.

Late payments shall incur interest at the lesser of the maximum rate permitted by law or on the outstanding balance, calculated monthly until paid in full.

Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience by providing written notice no fewer than days prior to termination. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within 15 days of written notice.

Confidentiality

"Confidential Information" means all non-public information disclosed by one party to the other that is designated as confidential or that, under the circumstances, ought reasonably to be treated as confidential. Provider shall: (a) use Confidential Information solely to perform obligations under this Agreement; (b) restrict disclosure to its employees, contractors or agents with a need to know and who are bound by confidentiality obligations no less protective than those herein; and (c) exercise at least the same degree of care in protecting Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Confidential Information does not include information that: (i) is or becomes generally known through no wrongful act of the receiving party; (ii) was known to the receiving party prior to disclosure; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without use of the disclosing party's Confidential Information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that State for disputes arising under this Agreement.

Representations and Warranties

Each party represents and warrants that it has the full power and authority to enter into and perform its obligations under this Agreement and that the execution, delivery and performance will not violate any law or agreement to which it is subject.

Entire Agreement

This Agreement, including all schedules and attachments hereto and any statements of work executed under this Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the address set forth in the Parties and Contact Information section, by certified mail, overnight courier, or delivered personally, and shall be effective upon receipt.
