SCOPE OF WORK

The Provider shall perform the analysis, documentation, and validation activities described below. All deliverables, acceptance tests, and dependencies must be recorded in this Checklist and acknowledged by both parties.

PAYMENT TERMS

Client agrees to pay Provider for services described in this Checklist in accordance with the amounts and schedule below. Provider will issue invoices in writing; Client will pay undisputed amounts within the agreed payment period.

Payment due within days of invoice. Late payments shall incur interest at per month or the maximum lawful rate, whichever is lower. Client shall notify Provider in writing of any disputed amounts within days of receipt of the invoice, specifying the basis for the dispute.

TERM AND TERMINATION

This Checklist commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breaching party fails to cure the breach within days after written notice. Either party may terminate for convenience upon days' prior written notice to the other party. Termination does not relieve Client of its obligation to pay for services rendered and expenses incurred prior to termination.

CONFIDENTIALITY

Each party will treat as confidential all non-public information disclosed by the other party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information may be used only to perform obligations under this Checklist. The receiving party shall not disclose Confidential Information except to its employees, contractors, or advisors with a need to know and who are bound by confidentiality obligations no less protective than those contained here. Confidentiality obligations survive termination for a period of three (3) years, except trade secrets which shall be protected for as long as they remain trade secrets under applicable law.

GOVERNING LAW

This Checklist and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of , excluding its conflict-of-law rules.

ENTIRE AGREEMENT

This Checklist constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment must be in writing signed by authorized representatives of both parties.
