WHEREAS

WHEREAS, Client requires the design, specification and delivery of systems, features, and deliverables described in this Agreement to support Client's business objectives (the "Project"); and

WHEREAS, Service Provider possesses the experience, technical capability, and personnel necessary to analyze requirements, produce specifications, and deliver the Project deliverables consistent with the scope below; and

WHEREAS, the parties wish to set forth the business, technical, commercial and legal terms governing the capture, acceptance and delivery of business requirements for the Project.

The Service Provider shall perform analysis, define business and functional requirements, and produce acceptance criteria and deliverables as set forth in this section. The Scope of Work shall include stakeholder interviews, process mapping, requirements documentation, traceability matrix, and support for User Acceptance Testing (UAT).

PAYMENT TERMS

Compensation to Service Provider for performance under this Agreement will be as follows.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice of days to the other party. Either party may terminate for material breach if the breach is not cured within days after written notice of such breach.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party that is marked confidential or that a reasonable person would understand to be confidential given the nature of the information ("Confidential Information"). Confidential Information may only be used to perform obligations under this Agreement. Confidential Information shall not be disclosed except to employees, contractors or advisors with a need to know who are bound by similar confidentiality obligations. Confidentiality obligations survive termination for a period of three (3) years or as required by applicable law for trade secrets.

CHANGE CONTROL

All changes to scope, requirements or deliverables shall be governed by written change orders signed by authorized representatives of both parties. Service Provider shall not be obliged to perform work outside the documented scope until a mutually executed change order detailing revised scope, schedule and fees is in effect.

ACCEPTANCE CRITERIA

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any attached statements of work and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings of the parties. Any amendments must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Neither party shall be liable for consequential, special, indirect or punitive damages except to the extent such damages arise from gross negligence, willful misconduct, fraud or a material breach of confidentiality. Each party shall comply with applicable laws and regulations in performing under this Agreement.
