What a Business Reserved Agreement Is and When It Applies

The Business Reserved Agreement is a concise, binding contract used to reserve a proposed business name or related intangible rights while formation, registration, or due diligence proceeds. It records the parties, the exact name string or asset being held, any consideration, and the reservation term. Organizations use it to establish priority, document intent, and clarify obligations prior to filing formation documents or trademarks. When permitted by state practice, the completed agreement is retained with corporate records and can be attached to later filings to show pre-filing rights and timelines.

Why a Business Reserved Agreement Matters

A clear agreement preserves priority for a name, reduces the risk of competing filings, and documents consideration and timing during formation or negotiations.

Why a Business Reserved Agreement Matters

Who Typically Prepares or Requests One

Common parties that prepare or request a Business Reserved Agreement include founders, investors, counsel, and corporate formation specialists.

  • Early-stage founders seeking to reserve a company name before incorporation or LLC formation.
  • Corporate counsel and law firms preserving client name rights during M&A, financing, or due diligence.
  • Investors, franchisees, and buyers ensuring a name or trademark reference is secured while negotiations continue.

It is used before formal state filings and during negotiations to document exclusivity, timelines, and payment terms.

Core Elements to Include in a Professional Agreement

A professional Business Reserved Agreement sets out purpose, parties, reservation term, consideration, scope of rights, and dispute resolution to reduce ambiguity and support enforcement.

Purpose

Describe why the name or asset is being reserved, including whether the reservation supports formation, trademark filing, or a pending transaction, and avoid vague wording that could weaken priority claims.

Parties

Identify each party by full legal name, entity type, and contact information; include state of organization and registered agent details when relevant to support service and filings.

Reservation Term

Specify start and end dates or a fixed duration, state any renewal mechanics, and describe the effect of expiration or failure to renew to prevent misunderstandings.

Consideration

Record fees, deposits, or non-monetary consideration, state refund policy, and explain consequences of nonpayment for the reservation's continuity and enforceability.

Scope of Rights

Define exactly what is reserved (precise name string, DBA variants, logos, or trademark filings) and note any geographic or product/service limitations to avoid overbroad claims.

Dispute Resolution

Specify governing law and forum, and include mediation or arbitration provisions and fee allocation to streamline enforcement and reduce litigation uncertainty.

  • Place Fields: Insert signature, date, and conditional fields where needed.
  • Send: Deliver by email or signing link with authentication options.
  • Finalize: Collect executed copies and preserve the audit trail and exports.

Key Timelines and Typical Deadlines

Plan for effective dates, state processing, renewals, and internal retention deadlines when you prepare and file a reservation.

Effective Date Start:

Reservation takes effect as of the Effective Date stated in the agreement.

State Processing Time:

Secretary of State processing varies by jurisdiction: from same day to several weeks depending on workload.

Reservation Duration:

Many states set fixed reservation terms; common practice is 30–120 days but rules vary by state.

Renewal Window:

State renewal mechanics differ; include renewal conditions and deadlines in the agreement.

Record Retention:

Keep executed agreements in corporate records for applicable statutory retention periods.

Common Preparation Errors to Avoid

  • Using a trade name instead of the exact legal entity name can cause mismatches with formation filings and lead to rejection or administrative delay.
  • Failing to verify signer authority under bylaws or operating agreements risks producing a document that lacks enforceability against third parties.
  • Omitting renewal or expiration mechanics creates uncertainty about reservation continuity and exposes the proposed name to competing filings.
  • Neglecting to store the executed agreement in official corporate records prevents timely production for investor due diligence or regulatory review.

Penalties and Practical Risks of an Incorrect Agreement

Reservation Rejected: State may reject noncompliant filings.
Name Lost: Another registrant may claim priority.
Monetary Loss: Fees and lost investment risk.
Contract Risks: Counterparty disputes about rights.
Tax/Compliance: Poor records increase audit exposure.
Operational Delay: Start-up activities may be postponed.
