What the Business Reserved Document Is

A Business Reserved Document is the formal filing used to reserve a proposed business name with a state filing office so an entity can hold a name for a limited period before forming or registering. It typically contains the requested name, the applicant or filer contact information, the entity type intended (LLC, corporation, LP), a reservation period or expiration date, and payment of a state fee. Reserving a name prevents another party from registering the identical or confusingly similar name while the filer completes formation steps.

Why reserving a business name matters

A name reservation protects branding while you prepare formation paperwork, secure trademarks, or complete due diligence. It reduces the risk of losing a desirable name during administrative delays and supports consistent use across banking, licensing, and marketing activities.

Why reserving a business name matters

Who typically completes a Business Reserved Document

Common filers include prospective business owners, attorneys, incorporators, and company formation services initiating the registration process.

  • Prospective owners reserving a startup name during planning and funding rounds.
  • Corporate paralegals or outside counsel securing names for multiple client entities.
  • Registered agents or formation providers filing reservations in multiple states.

The filer should be the party with authority to register the entity or the agent authorized to act on the registrant’s behalf.

Step-by-step: completing a Business Reserved Document

Follow these sequential steps to prepare and submit a name reservation with minimal errors.

  • 01
Check availability: Search the state business name database for exact or confusingly similar names.
  • 02
Choose entity: Confirm the legal entity type you plan to form before reserving the name.
  • 03
Complete form: Enter proposed name, applicant details, and desired reservation period.
  • 04
Pay fee: Submit the required state filing fee and retain the confirmation.

Where the reservation is filed and the typical routing

Name reservations are submitted to the state filing office (Secretary of State or equivalent); processes differ by state but follow similar routing steps.

  • State filing office: Primary recipient for reservation forms and fees.
  • Processing queue: State staff review, verify availability, and record reservation.
  • Confirmation returned: State issues a reservation certificate or notice to the filer.
  • Use for formation: Reserved name is available for entity formation within the reservation period.

Configuring an online reservation workflow

Set up an online workflow to collect form data, route approvals, and attach payment before filing with the state.

Field Configuration
Name field validation Enforce exact-character input and prevent disallowed characters
Entity type menu Dropdown for LLC, Corp, LP to standardize filings
Signer authentication Email or SMS verification for the authorized filer
Payment capture PCI-compliant payment field to collect state fees

Digital filing and signature considerations

Many states accept electronic submissions and eSignatures; confirm state office formats and authentication requirements before e-filing.

  • File formats: PDF or web form accepted by most states
  • Authentication: Email link, SMS code, or stronger ID checks
  • Integrations: Commonly integrates with CRM, cloud storage, and payment systems

Use platforms that support audit trails, document export to PDF/DOCX, and common integrations such as Salesforce and Google Workspace to simplify filing.

Essential parts of a professional Business Reserved Document

A complete reservation form contains standard elements that state offices expect; missing or inconsistent items are the most common cause of rejection.

Requested Name

The exact proposed business name including punctuation and entity designator; accuracy here determines availability and later registration compatibility.

Entity Type

Specifies whether you intend to form an LLC, corporation, partnership, or other business structure, which some states use during availability checks.

Applicant Details

Full legal name and contact information for the person or organization reserving the name; used for issuing the reservation certificate.

Reservation Period

The length of time the state will hold the name (typically 30–120 days); some states allow extensions on request.

Signature and Date

Signed by an authorized filer; electronic signatures are generally acceptable under U.S. e-signature law when consented to.

Payment Confirmation

Proof of fee payment or remittance information required to complete and process the reservation request.

Required data points for filing

Proposed name: Exact name
Entity type: LLC/Corp/LP
Applicant name: Filer identity
Contact info: Address and email
Reservation term: Duration selected
Payment proof: Fee receipt

Typical timelines and processing expectations

Timeframes vary by state and filing method; plan ahead for processing, name hold periods, and potential extensions.

Availability search:

Perform before filing to avoid rejection

Processing time:

Same-day to several weeks depending on state

Reservation length:

Varies; commonly 30–120 days

Extension deadline:

Request extension before expiration

Formation window:

Form entity within reservation period to retain name

Common mistakes to avoid

  • Submitting a name with punctuation or abbreviations that the state will normalize, resulting in an unintended name match.
  • Using a marketing or trade name rather than the exact legal name planned for entity formation.
  • Missing the reservation expiration and failing to form the entity or extend the reservation.
  • Providing incorrect filer contact information and losing the official reservation notice.

Risks and consequences of an incorrect reservation

Name loss: Another party can register the name if reservation expires
Filing rejection: State may refuse inconsistent formation documents
Fee for refile: You may pay additional state fees
Delay: Business start delayed by administrative issues
Trademark conflict: Reservation does not protect trademark rights
Data exposure: Incorrect contact info can compromise notices
