What a Business Resolution Agreement Is and When It’s Used

Business Resolution Agreement defines official board or member-authorized actions that a corporation or LLC records to authorize specific transactions, officers, or agents. It documents the corporate body's decision, the scope of authority granted, effective dates, and any conditions or limitations. Common uses include authorizing bank accounts, loan agreements, real estate transactions, mergers, officer appointments, and contract execution by designated signatories. The resolution becomes part of corporate records and may be required by banks, title companies, or regulators to verify authority for binding the business.

Why a Clear Resolution Matters for Corporate Authority

A Business Resolution Agreement provides clear, written authority that third parties can rely on, reduces ambiguity about signatory powers, and documents corporate compliance with bylaws and state law. It supports banking, real estate, and contract execution while creating an auditable paper or electronic trail.

Why a Clear Resolution Matters for Corporate Authority

Who Typically Prepares and Relies on These Resolutions

Organizations across corporate and financial operations rely on Business Resolution Agreements to record official delegations of authority and meet third-party requirements.

  • Corporations and S-corporations use resolutions for officer appointments, bank accounts, and major transactions.
  • LLCs rely on manager or member resolutions to delegate authority and approve contracts or capital events.
  • Banks, title companies, and lenders request certified resolutions to verify signatory authority for accounts and closings.

Preparing the resolution with supporting documents reduces friction with banks, title companies, lenders, and internal auditors and simplifies future verification.

Key Roles Involved in a Business Resolution

Corporate Secretary

Oversees preparation and retention of corporate minutes and resolutions, certifies copies for third parties, ensures resolutions comply with bylaws and state law, and attests to proper execution for banking, real estate, and compliance needs.

Authorized Officer

The named officer, such as CEO or CFO, who executes the resolution on behalf of the entity. Their signature binds the company when proper authority is documented in corporate records.

Core Elements Every Professional Resolution Should Include

A professional Business Resolution Agreement includes standardized recitals, precise authorization language, signature blocks, effective dates, attachment references, and certification for third parties.

Recitals

State which corporate body convened, cite the governing bylaws or operating agreement, summarize background facts, meeting type, and the specific reasons for the resolution so third parties can verify context and authority.

Authorization

Precisely list powers granted, monetary thresholds, any limits, delegation to named officers or agents, duration of authority, and conditional approvals required before execution of specified transactions.

Effective Date

Specify when authority begins, whether retroactive effect is permitted, and set explicit termination or expiration conditions to limit ongoing liability and clarify enforceability.

Signature Block

Provide printed names, official titles, signature lines, dates for each signatory, and space for notary acknowledgment where banks or title companies require it.

Attachments

Attach supporting documents such as articles of incorporation or formation, operating agreements, prior minutes, loan documents, or title commitments; reference each exhibit within the resolution.

Certification

Include a certification by the corporate secretary or authorized officer attesting the resolution's adoption, accuracy, and that copies furnished to third parties are true and complete.

Step-by-Step: Prepare and Finalize the Resolution

Follow these steps to prepare and finalize a Business Resolution Agreement accurately and in compliance with corporate formalities.

  • 01
Draft Resolution: Describe action, parties, authority limits, and effective date.
  • 02
Board Approval: Circulate to directors, obtain votes, and document minutes.
  • 03
Record Keeping: Attach signed resolution to corporate minute book and records.
  • 04
Execution: Authorized officer signs and dates; provide duplicates to stakeholders.

Ensure the digital platform supports required authentication methods, RON integration where available, audit trails, and secure archival of signed resolutions.

  • Integrations: Salesforce, NetSuite, Microsoft 365, Google Workspace
  • Security: AES-256 at rest; TLS 1.2/1.3 in transit

Practical Tips to Reduce Rejection and Ensure Enforceability

Practical tips below help you prepare a clear, enforceable Business Resolution Agreement and reduce third-party rejection risk.

Use precise authorization language
Avoid vague phrases like 'authorized to do business'; specify exact powers, thresholds, names, and limits. Precise language reduces disputes, prevents overreach, and ensures banks and counterparties can rely on the resolution without additional clarification.
Attach supporting corporate documents
Attach certified copies of articles, bylaws, operating agreement, or prior minutes that demonstrate authority. Provide exhibit references and ensure attachments are signed or certified to satisfy banks and title agents.
Confirm signatory authority
Verify signers against corporate records; confirm the operating agreement or bylaws authorize the signer. If an agent signs, include executed delegation paperwork to avoid third-party rejection.
Record and certify copies properly
Prepare certified copies for third parties and retain originals in the minute book or secure electronic archive with audit logs and access controls to support future due diligence.
