What a Business Resolution & Certificate Is

Business Resolution & Certificate is a formal corporate record documenting an entity's board-approved decision and certifying that specified individuals have authority to act on behalf of the company. Typically used to authorize bank accounts, sign contracts, appoint officers, or delegate powers, it combines the resolution language and an officer's certificate of incumbency. The document becomes part of corporate minutes and may be notarized or accompanied by supporting records. It is compatible with electronic execution and storage when it meets ESIGN and applicable state transaction rules, but local procedural requirements should be confirmed.

Why a Certified Resolution Matters

Using a clear Business Resolution & Certificate creates an auditable record of corporate authority, reduces third-party acceptance friction, and clarifies limits on delegated power. It helps banks, vendors, and regulators verify signatory authority and supports internal governance and compliance obligations.

Why a Certified Resolution Matters

Who Prepares and Receives This Document

Typical users range from corporate officers and board members to company secretaries and in-house counsel handling governance.

  • Small business owners and founders managing banking and contract authorization
  • Corporate secretaries maintaining minute books and corporate records for compliance
  • Legal departments or outside counsel preparing formal delegation and certification documents

External recipients such as banks, title companies, and partners often request a certified resolution to confirm authority.

Key Signatory Roles

Board Chair

As the meeting presiding officer, the Board Chair introduces the resolution, oversees discussion, and ensures a proper vote is taken. The chair may also sign or attest to the resolution if bylaws or bank procedures require authentication.

Corporate Secretary

The Corporate Secretary certifies the resolution, signs the certificate of incumbency, maintains the minute book, and provides certified copies to banks or counterparties; accuracy here is critical to prevent acceptance or compliance issues.

Essential Parts of a Professional Resolution and Certificate

A professional Business Resolution & Certificate combines legal formality with clear operational details so third parties can verify authority and organizations can maintain accurate corporate records.

Heading

State the document type and include the corporate name, jurisdiction, and meeting date to provide immediate context for readers and record-keeping.

Recitals

Summarize background facts and the reason for the resolution; concise recitals help recipients understand authority and material context without reading separate minutes.

Resolved Clause

Use explicit resolved clauses that enumerate authorized powers, conditions, limits, and any delegation to specific officers or agents in clear, enforceable language.

Certification

Provide an officer's statement verifying the resolution was duly adopted, including meeting type, vote outcome, and reference to minutes or consent records.

Signatures

Include signatures, printed names, and titles for the certifying officer and any authorized signers; date each signature and indicate capacity.

Notary/Seal

If required by a bank or counterpart, include a notary acknowledgment or corporate seal; confirm local notarization and witness expectations beforehand.

Practical Tips for Accurate and Efficient Completion

Follow these best practices to produce a clear, durable, and third-party–acceptable Business Resolution & Certificate.

Use precise authority language and limits
Specify exact powers granted, monetary caps, time limits, and any conditions. Avoid vague terms like 'in general' or 'as needed' that third parties may reject.
Match corporate records and bylaws precisely
Confirm that the resolution language, meeting date, and vote outcome align with minutes, bylaws, and formation documents to prevent internal inconsistencies or external challenges.
Confirm third-party requirements in advance
Ask the receiving bank or counterparty whether they require notarization, witness signatures, corporate seal, or additional certification to avoid last-minute re-execution.
Retain originals and electronic copies securely
Keep the signed original in the minute book and an encrypted electronic copy with audit trail data to support audits and reproduce the record when needed.
