CONFIDENTIALITY

All non-public information disclosed by either party in connection with the engagement that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure shall be maintained in strict confidence and used solely for the purposes of performing obligations under this engagement. Confidential information shall not include information that is or becomes publicly available other than through a breach of this obligation, is independently developed without use of confidential information, or is required to be disclosed by law or valid process, provided that the receiving party provides prior notice and reasonably cooperates with the disclosing party to limit such disclosure.

GOVERNING LAW

This Business Resolution Letter and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

ENTIRE AGREEMENT

This Business Resolution Letter constitutes the entire agreement and understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral, relating to such subject matter. Any amendment or modification must be in writing and signed by the authorized representatives of both parties.
