What a Business Resolution Page Is and when it’s used

A Business Resolution Page is a formal corporate record that documents a board of directors’ or members’ decision authorizing a specific action on behalf of a company. Typical uses include authorizing bank account openings, approving major contracts, designating officers to sign documents, or recording corporate policy decisions. The page normally names the entity, states the resolution, sets an effective date, and lists authorized signers. Properly prepared resolutions streamline third-party acceptance and support internal governance and audit trails.

Why a clear Business Resolution Page matters

A concise Business Resolution Page establishes verifiable authority, reduces delays with banks and counterparties, and creates an auditable record for future disputes. When executed correctly it supports operational needs, risk management, and legal defensibility. Electronic execution is generally permitted under the ESIGN Act (15 U.S.C. ch. 96) and UETA where applicable.

Why a clear Business Resolution Page matters

Who prepares and relies on Business Resolution Pages

Corporate officers, board members, and company administrators prepare Business Resolution Pages to document formal authorizations and to meet outside verification requests.

  • Small and medium businesses documenting officer authority for banking and contracts.
  • Nonprofit boards resolving grant approvals, vendor contracts, and signatory designations.
  • Banks, title companies, and counterparties verifying signing authority before completing transactions.

Keep a clear, dated record so internal stakeholders and third parties can confirm authority quickly during transactions or audits.

Core elements every professional Business Resolution Page includes

A complete Business Resolution Page follows a consistent structure so banks, counterparties, and regulators can verify decisions and authorized signers efficiently.

Resolution Title

Provide a concise title that names the action and references the meeting or written consent that produced the resolution to aid internal tracking and external review.

Company Details

List the legal entity name, state of formation, EIN, and principal address exactly as registered to avoid mismatches with bank or filing records.

Resolved Action

Describe the authority being granted precisely: scope, monetary limits, permitted contract types, duration, and any exceptions to reduce ambiguity.

Authorized Signers

Identify individuals by full legal name and title, state signing limits and whether signatures are joint or several, and include alternates where appropriate.

Signatures & Dates

Provide printed name, title, signature, and date lines for each signer; include witness or notary blocks when required by counterparties or law.

Certification

Add a secretary’s or corporate officer’s attestation confirming the meeting authority and effective date; note record location and add notarization if requested.

Essential data fields on the Business Resolution Page

Effective Date: Use MM/DD/YYYY; controls effective timing.
Entity Name: Exact registered name as on record.
Federal EIN: Nine-digit EIN; required by many banks.
Meeting Reference: Date, type (meeting/written consent), and minutes.
Authorized Signers: Full names, titles, and signing limits.
Notary / Witness: Notary or witness info when jurisdiction requires.

Consequences of an incomplete or incorrect resolution

Bank refusal: Bank may refuse transactions.
Contract risk: Executed contracts may be unenforceable.
Operational delays: Processing delays and repeated requests.
Regulatory exposure: Noncompliance triggers enforcement scrutiny.
Financial loss: Payment or transfer delays create exposure.
Fraud risk: Unclear authority increases impersonation risk.

Common preparation mistakes to avoid

  • Using an informal title or vague description that leaves banks uncertain about the exact authority granted.
  • Entering abbreviated or inconsistent entity names that do not match formation documents or bank records, causing verification failures.
  • Omitting meeting references or minutes, which makes it difficult to prove proper corporate procedure was followed.
  • Failing to include clear signature blocks, dates, or notary acknowledgements when counterparties expect them.

Stepwise process to complete a Business Resolution Page

Follow these sequential steps to prepare, approve, and distribute a Business Resolution Page that third parties will accept.

  • 01
Draft the resolution: Write the title, entity details, and specific authority being granted.
  • 02
Record authorization: Reference the meeting minutes or written consent approving the resolution.
  • 03
Obtain signatures: Collect required signatures, dates, and notary or witness blocks as needed.
  • 04
Distribute copies: Provide certified copies to banks, title companies, and internal records as appropriate.

Where to file, send, or submit a completed page

Typical routing channels and recipients for an executed Business Resolution Page, depending on the transaction and counterparty expectations.

  • Banking: Provide to banks for account openings, signatory changes, or wire authorizations.
  • Title companies: Send to title or escrow agents for real estate closings when requested.
  • Internal records: Retain in corporate minute books and governance files for audits.
  • Counterparties: Share with counterparties before executing contracts that require verified authority.

Practical tips for accurate and efficient completion

Adopt consistent templates, confirm exact registered names, and document the meeting or written consent that produced the resolution.

Use a standardized template
Start from a vetted template that includes required fields (entity name, EIN, title, effective date, full signer blocks) to reduce errors and reviewer queries.
Confirm signer authority
Verify each signer's official title against corporate records before executing; obtain secretary’s certification when requested by financial institutions.
Record meeting details
Attach or reference meeting minutes or written consent to prove corporate action and to support the resolution during audits or third-party reviews.
Choose appropriate authentication
Use stronger signer authentication (SMS, KBA) for high-value transactions and include notarization when counterparties require it.
