Each party shall maintain in confidence all non-public information disclosed by the other party and shall not use such information except in performance of the Agreement. Confidential information shall not include information that: (a) is or becomes publicly available other than by a breach of this Agreement; (b) was known to the receiving party prior to disclosure; or (c) is rightfully obtained from a third party without breach of any confidentiality obligation.

The Board authorizes execution of a separate nondisclosure agreement by an Authorized Officer when reasonably necessary to protect the Company's confidential information.

GOVERNING LAW

This resolution and any Agreement executed pursuant to it shall be governed by and construed in accordance with the laws of State: , without regard to principles of conflicts of law.

ENTIRE AGREEMENT; MISCELLANEOUS

The terms contained in these resolutions, together with any executed Agreement and any ancillary documents authorized hereby, constitute the entire agreement among the parties with respect to the subject matter hereof and supersede all prior understandings and agreements, whether oral or written. Any amendment to these resolutions must be in writing and signed by a majority of the Board unless a greater vote is required by the Company's governing documents.

If any provision of these resolutions or the Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed so as to effectuate the intent of the parties to the maximum extent permissible.
