BUSINESS RESPONSE FORM

RECITALS

WHEREAS, Responder Company Name: is duly organized and authorized to provide goods and services in the ordinary course of business;

WHEREAS, Recipient Company Name: has requested a formal written response and the parties wish to record the terms governing such response and any resulting engagement;

WHEREAS, the parties agree that the submission and consideration of this Business Response Form will be governed by the terms set forth below.

The Responder will perform the services, deliverables and work described below in accordance with the terms of this form. Responders must describe with sufficient detail the tasks, deliverables, acceptance criteria and any milestones.

PAYMENT TERMS

The Recipient agrees to compensate the Responder according to the amounts and schedule below. All fees are payable in U.S. dollars unless otherwise agreed in writing.

Overdue amounts shall incur a late fee of % per month, compounded monthly, or the maximum permitted by law, whichever is less.

TERM AND TERMINATION

This agreement commences on the Start Date and, unless earlier terminated in accordance with this section, continues through the End Date specified below.

Either party may terminate for material breach if the breaching party fails to cure within the notice period specified above. Termination will not relieve either party of obligations accrued prior to termination, including payment for work performed.

CONFIDENTIALITY

"Confidential Information" means nonpublic information disclosed by one party to the other that is designated as confidential or that, under the circumstances of disclosure, ought reasonably to be treated as confidential. Recipient shall not disclose Confidential Information to any third party and shall use it only to evaluate and perform obligations under this form.

Exclusions: Confidential Information does not include information that (a) is or becomes publicly known through no breach; (b) is rightfully received from a third party without restriction; (c) is independently developed without reference to Confidential Information; or (d) is required to be disclosed by law, provided the disclosing party is given prompt notice to seek protective measures.

Duration: The confidentiality obligations survive termination for a period of three (3) years from disclosure, or longer where applicable trade secrets or statutory protections require.

GOVERNING LAW AND DISPUTE RESOLUTION

The parties agree that the substantive law of the chosen jurisdiction governs this Business Response Form, without regard to principles of conflicts of law. The parties shall first attempt to resolve disputes in good faith and, if unsuccessful, submit disputes to the exclusive courts of the chosen jurisdiction.

ENTIRE AGREEMENT

This Business Response Form, together with any attachments, written proposals and signed amendments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior or contemporaneous oral or written agreements. Any amendment must be in writing and signed by authorized representatives of both parties.
