BUSINESS RESPONSE LETTER

WHEREAS, Respondent Name: has been asked to provide a formal written response to the matters described in the above reference; and

WHEREAS, Recipient Name: has requested clarification and, where applicable, proposal terms for services, deliverables, and commercial terms; and

WHEREAS, the parties intend for this Business Response Letter to set forth the scope, payment terms, term and termination rights, confidentiality obligations, and governing law applicable to any subsequent work order or agreement arising from this response.

Scope of Work

The Respondent will undertake the following tasks, deliverables, and milestones as part of the engagement. Any changes to the scope must be agreed in writing by authorized representatives of both parties.

Payment Terms

Compensation for the services described above shall be as follows. All fees are exclusive of applicable taxes unless otherwise stated.

Term and Termination

This response and any resulting engagement shall commence on Start Date: and shall expire on End Date: unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon written notice to the other party delivered at least days prior to the intended termination date. Either party may terminate immediately for material breach that remains uncured for a period of thirty (30) days after written notice of such breach.

Confidentiality

Each party (the "Receiving Party") shall maintain in confidence all non-public information disclosed by the other party (the "Disclosing Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The Receiving Party shall not disclose Confidential Information to any third party except to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

Confidential Information does not include information that: (a) is or becomes generally known to the public other than by breach of this obligation; (b) is rightfully known by the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information; or (d) is rightfully obtained from a third party without restriction. The obligations in this provision shall survive termination of this letter for a period of three (3) years, except that trade secrets shall be protected for so long as they remain trade secrets under applicable law.

Governing Law

This Business Response Letter and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflict of laws.

Entire Agreement

This Business Response Letter constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, negotiations and communications, whether written or oral.
