What a Business Response to GC Is

A Business Response to GC is a written, structured report prepared by a company employee or business unit to answer questions from in-house or outside general counsel. It documents facts, timelines, witness names, contracts, and supporting evidence needed for legal analysis, compliance reviews, regulatory inquiries, or litigation preparation. The response is typically factual, avoids legal conclusions unless requested, and is delivered through controlled channels to preserve privilege and chain-of-custody where appropriate. Accuracy and clear sourcing of attachments are essential to support counsel's assessment and next steps.

Why a Clear, Timely Response Matters to Counsel

A precise Business Response to GC reduces risk, accelerates counsel's review, and preserves key facts and evidence. It helps counsel assess privilege, determine compliance obligations, set litigation strategy, and meet regulatory deadlines with fewer follow-up requests.

Why a Clear, Timely Response Matters to Counsel

Who Prepares and Reviews These Responses

Business units, compliance teams, and legal liaisons commonly prepare responses when counsel requests factual information or supporting documents.

  • Business Unit Leaders: Provide operational facts, timeline details, and primary documents for counsel review.
  • Compliance or Privacy Officers: Add regulatory context, redact sensitive data, and ensure HIPAA or FERPA concerns are addressed.
  • Corporate Legal Liaisons: Coordinate submissions, confirm privilege assertions, and maintain version control.

Final delivery is usually routed through a legal liaison or secure platform to maintain confidentiality and auditability.

Step-by-Step: Preparing a Business Response to GC

Follow a concise, repeatable sequence to gather facts, attach evidence, and present the information counsel needs without introducing unnecessary commentary.

  • 01
Gather Records: Collect emails, contracts, logs, and supporting files relevant to counsel's questions.
  • 02
Draft Summary: Write a neutral facts-only synopsis with a clear timeline of events.
  • 03
Attach Evidence: Index each attachment and reference it inline using exhibit numbers.
  • 04
Submit Securely: Send via counsel-approved channel and retain a copy with an audit trail.

Security and Compliance Essentials for Submissions

Encryption in Transit: TLS 1.2/1.3
Encryption at Rest: AES-256
Audit Trail: Timestamps, IPs, action log
HIPAA Support: BAA required for PHI
Access Controls: Role-based permissions
Certifications: SOC 2 Type II, ISO 27001

Key Risks If the Response Is Incorrect or Late

Privilege Waiver: Over-disclosure can waive attorney-client protection
Regulatory Penalties: Missed deadlines can trigger fines
Spoliation: Altering or failing to preserve evidence
Contract Exposure: Incorrect facts may breach agreements
Operational Disruption: Repeated follow-ups consume time
Reputational Harm: Public disclosure risks brand damage

Common Preparation Challenges to Avoid

  • Unclear timelines that leave counsel unable to reconcile events and confirm causation with available records.
  • Missing or poorly indexed attachments that force manual searches and delay legal review cycles.
  • Inconsistent witness statements across submissions that undermine credibility and require additional interviews.
  • Improper redaction or non-secure transmission that risks privilege loss or unauthorized disclosure.

How Submissions Typically Flow to Counsel

A simple linear workflow helps standardize responses and maintain an auditable record from creation to counsel review.

  • Prepare: Assemble facts, timeline, and exhibits in a single packet.
  • Confirm: Verify accuracy and obtain manager sign-off where required.
  • Deliver: Send via secure platform or counsel-approved channel.
  • Archive: Retain a copy with metadata and the delivery audit trail.

Configuring an Electronic Workflow for Responses

Define settings that control authentication, routing, storage, and notifications to keep submissions consistent and auditable.

Field Configuration
Authentication Email link, SMS code, or KBA per counsel requirement.
Routing Sequential reviewer steps with conditional approvals.
Storage Encrypted repository with version control.
Notifications Email and in-app alerts for pending reviews.

Delivery Channels and Technical Requirements

Use platforms that support secure file formats, strong authentication, audit trails, and integration with legal systems.

  • File Formats: PDF, DOCX, or searchable PDF
  • Integrations: Salesforce, Google Workspace, NetSuite
  • Authentication: Email, SMS, or advanced MFA

What a Professional Business Response Should Include

Structure the response so counsel can quickly find facts, supporting evidence, and any legal questions to answer; include clear indexes and sign-offs.

Executive Summary

A concise one-paragraph overview of the issue, outcome sought, and the core facts to orient counsel immediately without reading full exhibits.

Chronology

A dated timeline listing events in order with citations to exhibits, enabling counsel to assess sequence and potential causal links quickly.

Evidence Index

A numbered list describing each attachment, file type, page count, and the specific fact the exhibit supports for efficient review.

Material Contracts

Identify relevant agreements with clause citations and highlight areas counsel should review for obligations or notice requirements.

Open Questions

List specific legal or factual questions you want counsel to answer to focus legal review and avoid broad or ambiguous requests.

Certification

A signatory block where an authorized business representative attests to the accuracy of the factual summary and attachments.

Typical Timing and Internal Deadlines

Set internal deadlines against counsel's request date so deliverables remain timely and defensible.

Acknowledge Request:

Counsel Review:

Final Submission:

Submit the final packet and secure delivery receipt for the record.
