Whereas

WHEREAS, Provider is the owner or authorized custodian of the equipment, inventory, materials, or other property described in this document (collectively, the "Items"); and

WHEREAS, Recipient desires to receive, use, or hold the Items for the business purpose described below, and Provider is willing to deliver possession of the Items to Recipient subject to the terms and conditions set forth in this Responsiva; and

NOW, THEREFORE, in consideration of the mutual covenants and conditions contained herein, the parties agree as follows:

Either party may terminate this Responsiva for cause upon written notice to the other party if the breach is not cured within days. Provider may terminate immediately if Items are misused, lost, or damaged beyond repair.

Confidentiality

Recipient acknowledges that certain information about Provider's business, operations, and the Items may be Confidential Information. Recipient shall (a) hold such Confidential Information in strict confidence, (b) not disclose it to third parties except as authorized in writing by Provider or required by law, and (c) use such Confidential Information solely for the purposes expressly permitted by this Responsiva. The obligations set forth in this paragraph survive termination of this Responsiva for a period of three (3) years.

Liability, Insurance and Indemnification

Recipient accepts physical custody of the Items at Recipient's sole risk. Recipient shall maintain appropriate insurance covering loss, theft, damage, and liability arising from use of the Items and shall, upon Provider's request, provide certificates of insurance naming Provider as an additional insured or loss payee as appropriate. Recipient shall indemnify, defend and hold Provider harmless from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Recipient's possession, use, operation, maintenance, storage, or transport of the Items except to the extent caused by Provider's gross negligence or willful misconduct.

Maintenance, Inspection and Return

Recipient shall perform routine care and maintenance necessary to preserve the Items in at least the same condition as delivered, reasonable wear and tear excepted. Provider or its designee shall have the right to inspect the Items upon reasonable notice. Upon expiration or earlier termination of this Responsiva, Recipient shall return the Items in substantially the same condition as received, reasonable wear and tear excepted. If Items are lost, damaged beyond repair or permanently retained by Recipient without Provider's consent, Recipient shall pay Provider the lesser of (i) the actual replacement cost or (ii) the declared value set forth in the inventory, plus any related costs.

Governing Law and Dispute Resolution

This Responsiva shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties agree to attempt good faith negotiations to resolve disputes; if unresolved, disputes shall be resolved by binding arbitration in the county of Provider's principal place of business, in accordance with commercially reasonable arbitration rules.

Entire Agreement; Amendments

This Responsiva, including the inventory and any attachments or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any modification or waiver of any provision of this Responsiva must be in writing and executed by an authorized representative of each party.

All notices required or permitted under this Responsiva shall be in writing and delivered to the addresses below by certified mail, commercial courier, or personal delivery and shall be effective upon receipt.
