NOW, THEREFORE, in consideration of the mutual promises set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Scope of Work

Restrictive Covenants

1. Non-Competition. Covenantor agrees that during the Term and for a period of following termination, Covenantor shall not, directly or indirectly, own, manage, operate, consult with, or be employed by any business that is competitive with Company's material lines of business within the geographic area described as . The restrictions set forth are reasonable and necessary to protect Company's legitimate business interests.

2. Non-Solicitation of Employees. Covenantor shall not, for a period of after termination, directly or indirectly solicit, recruit, or hire any person who is or was an employee or contractor of Company at any time during the twelve (12) months preceding termination.

3. Non-Solicitation of Customers. Allowed disclosures are limited to those required by law and, when feasible, following prior written notice to Company.

Payment Terms & Consideration

In consideration for the restrictive covenants and other obligations set forth herein, Company shall provide the following consideration to Covenantor:

Term; Termination; Notice

This Agreement shall commence on and shall continue until unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon prior written notice to the other party. Termination does not relieve Covenantor of obligations that, by their nature, survive termination, including confidentiality and post-termination restrictive covenants described above.

Remedies; Enforcement

Covenantor acknowledges that a breach of the restrictive covenants or confidentiality obligations would cause irreparable harm to Company for which monetary damages alone may be an inadequate remedy. Accordingly, in addition to any other available remedies, Company shall be entitled to injunctive relief to enforce the provisions of this Agreement, and Covenantor agrees that Company may seek specific performance or other equitable relief without the requirement to post a bond.

Miscellaneous Provisions

Assignment. This Agreement and the rights hereunder may not be assigned by Covenantor without the prior written consent of Company. Company may assign this Agreement to any successor by merger, sale of assets, or operation of law.

Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the original intent.

Notices. All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by notice in accordance with this section.

Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written. No amendment or modification shall be effective unless in writing and signed by both parties.

Waiver. The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver of that provision or of the right to enforce such provision.

Authority. Each individual signing below represents and warrants that they have full authority to enter into this Agreement on behalf of the party for which they sign.

What a Business Restrictive Covenants Template Is

A Business Restrictive Covenants Template is a standardized legal agreement used to document limits on post-employment activities and competitive behavior, such as non-compete, non-solicitation, confidentiality, and non-disclosure obligations. It sets observable scope: parties, restricted activities, geographic limits, duration, and compensation or consideration. Organizations use the template to ensure consistent terms across hires and transactions while preserving enforceability where permitted by state law. The template is not a court filing; it is a private contract that should be tailored for factual accuracy and reviewed for state-specific enforceability before execution.

Why a Clear Restrictive Covenants Template Matters

A well-crafted template reduces ambiguity, supports enforceability, and standardizes business protection across hires and exits. Clear definitions and reasonable scopes help courts assess validity and reduce litigation risk while aligning expectations for employers and employees.

Why a Clear Restrictive Covenants Template Matters

Typical Users and Stakeholders

These templates are used by employers, HR teams, in-house counsel, outside counsel, and recruiters to document post-employment restrictions.

  • In-house legal teams drafting consistent contract language for multiple hires or internal transfers.
  • HR and talent acquisition applying standard clauses during offer and onboarding processes.
  • Business owners and executives protecting trade secrets and client relationships when hiring or selling assets.

Use tailored language and confirm state-specific enforceability before relying on a template for high-risk roles or executives.

Who Signs and Who Approves

Signing Parties

The employee or contractor and an authorized representative of the employer should sign. For companies, authorized signers typically include CEOs, HR directors, or officers with delegated authority; signatures must match corporate signing authority records.

Approving Authorities

Legal counsel and HR should review for role-specific scope and compliance with state law. For executive-level covenants, board approval or a delegated committee review is common to validate consideration and reasonableness.

Core Components to Include in the Template

A comprehensive restrictive covenants template lists parties, defined confidential information, restricted acts, geographic scope, duration, consideration, remedies, and dispute resolution. Each element must be precise to aid enforceability and to allow later tailoring for role sensitivity and jurisdictional limits.

Definitions

Define Employer, Employee, Confidential Information, Competing Business and other key terms with objective criteria to limit ambiguity and support contractual interpretation in disputes.

Restricted Activities

Specify prohibited acts—soliciting clients, hiring employees, or engaging in competing services—using clear verbs and examples tied to the business's actual operations.

Geographic Scope

Describe geographic limits by territory, customer base, or market segment rather than broad countrywide bans to increase likelihood of judicial enforcement.

Duration and Time Limits

State exact time frames for each restriction and align durations with the role's access to confidential information; avoid open-ended or unreasonable durations.

Consideration

Document adequate consideration—continued employment, a signing bonus, equity grant, or severance—so the covenant is supported legally where required.

Remedies and Enforcement

Include injunctive relief language, choice of law, venue, and severability clauses to enable enforceability and permit narrowing if a court finds any provision overbroad.

Required Information to Complete the Template

Parties’ Legal Names: Full legal names
Effective Date: MM/DD/YYYY
Job Title: Official role name

  • 01
Draft: Populate template fields with role-specific details.
  • 02
Review: Have HR and counsel verify scope and consideration.

Where to Send or File the Completed Agreement

Restrictive covenant agreements are private contracts that do not require official filing in most jurisdictions; route copies to stakeholders and retain securely.

  • Employee: Provide executed copy to signer
  • HR File: Store in personnel record
  • Legal Counsel: Retain for enforcement and audits
  • Backup Archive: Save encrypted copy offsite

Digital Signing and Technical Considerations

Use an e-signature platform that supports secure signatures, audit trails, and configurable authentication suitable for contractual documents.

  • File Formats: PDF and DOCX accepted
  • Authentication: Email, SMS, or advanced methods
  • Integrations: CRM and cloud storage available

Ensure the chosen platform complies with ESIGN and UETA, supports retention and export, and preserves an auditable certificate of completion.

Practical Timelines and Execution Expectations

Although there are no universal filing deadlines, follow consistent internal deadlines for negotiation, signing, and retention to reduce disputes and administrative delay.

Offer Integration:

Include covenants in written offer when required

Signature Window:

Execute within 7–14 days of offer

Post-Execution Review:

Legal should review executed versions within 30 days

Onboarding Attachment:

Attach to personnel file at hire

Renewal/Amendment:

Document any extensions in writing

Common Mistakes to Avoid

  • Using overly broad geographic or temporal limits that a court may refuse to enforce.
  • Failing to provide adequate consideration, particularly for post-hire non-competes in some states.
  • Applying a one-size-fits-all clause without tailoring for role or market; this increases litigation risk.
  • Neglecting to update templates after state law reforms or industry-specific regulatory changes.

Risks and Legal Consequences of Incorrect Templates

Invalidity: Clause unenforceable
Litigation Costs: High attorney fees
Damages Exposure: Monetary liability possible
Employee Claims: Wage or restraint claims
Reputational Risk: Business relationships strained
Compliance Gaps: Regulatory scrutiny
