BUSINESS RESULTANT DOCUMENT

This Business Resultant Document (the Agreement) is made effective as of Effective Date: by and between Client Name: and Contractor Name: .

WHEREAS

WHEREAS, Client Name is engaged in business activities that require the services and deliverables described herein; and

WHEREAS, Contractor Name has represented that it possesses the expertise, personnel, and resources necessary to perform the services on the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the performance of such services and the provision of deliverables resulting from such performance.

1. Scope of Work

Contractor shall perform the services and produce the deliverables described below (the Services). Contractor will perform the Services in a professional and workmanlike manner consistent with prevailing industry standards.

2. Payment Terms

In consideration for the Services, Client shall pay Contractor as set forth below. All payments are due in U.S. dollars unless otherwise agreed in writing. Contractor shall submit invoices in accordance with the schedule set out in this Section.

A late fee of of the outstanding invoice balance shall accrue monthly on any unpaid amounts beginning 30 days after the invoice due date. In addition, Client shall reimburse Contractor for reasonable costs of collection, including attorneys' fees.

3. Term and Termination

This Agreement shall commence on Start Date: and shall continue in effect until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for any reason upon providing written notice to the other party at least days prior to the intended termination date. Either party may terminate immediately for cause if the other party materially breaches a material obligation under this Agreement and fails to cure that breach within 15 days following written notice specifying the breach.

4. Confidentiality

For purposes of this Agreement, Confidential Information means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. The receiving party shall: (a) protect Confidential Information with the same degree of care it uses for its own similar information, but not less than a reasonable standard of care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who need to know the information and who are bound by confidentiality obligations no less protective than those in this Agreement.

Confidential Information does not include information that: (i) is or becomes generally known to the public through no fault of the receiving party; (ii) was in the receiving party's possession prior to disclosure; (iii) is lawfully received from a third party without restriction; or (iv) is independently developed without use of the disclosing party's Confidential Information. Upon termination of this Agreement, the receiving party shall return or destroy Confidential Information as directed by the disclosing party and certify destruction upon request.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any action arising under this Agreement.

6. Entire Agreement

This Agreement, including any attachments, exhibits, and documents incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by duly authorized representatives of both parties.

7. Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by notice. Notices shall be deemed given when delivered personally, sent by certified mail, return receipt requested, or delivered by a nationally recognized overnight courier.

8. Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The headings herein are for reference only and shall not affect the meaning of any provision. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Contractor may assign receivables to a financing institution.
