BUSINESS RETREAT AGREEMENT

This Business Retreat Agreement (the "Agreement") is entered into as of between:

Recitals

WHEREAS, Organizer is engaged in the business of planning, coordinating and facilitating corporate retreats, team-building programs, and related services; and

WHEREAS, Client desires to retain Organizer to provide retreat services for Client's employees or representatives on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties agree the services, schedule and payment terms will be set forth in this Agreement.

Scope of Work

Organizer will provide the services described below, including planning, facilitation, on-site coordination, materials, and management of third-party vendors as necessary. Specific deliverables and responsibilities are described in the Scope of Work field.

Late payment: Amounts not paid within ten (10) days of an invoice due date shall bear interest at or the maximum rate permitted by law, whichever is less. Client shall also reimburse Organizer for reasonable collection costs.

Term and Termination

This Agreement commences on and terminates on unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination by Client within thirty (30) days of the retreat start date shall entitle Organizer to retain the deposit and may require payment of a portion of the Total Fee to cover non‑refundable expenses and lost opportunity as set forth in an itemized cancellation schedule agreed by the parties.

Confidentiality

Each party (the "Receiving Party") acknowledges that during performance it may receive Confidential Information of the other party (the "Disclosing Party"). "Confidential Information" means non-public business, financial and operational information, participant lists, materials and any information so designated in writing. The Receiving Party shall: (a) use Confidential Information solely for performance or receipt of the services under this Agreement; (b) hold Confidential Information in strict confidence using at least the same degree of care used to protect its own confidential information but no less than reasonable care; and (c) not disclose Confidential Information to third parties except to employees, contractors or professional advisors on a need-to-know basis who are subject to confidentiality obligations no less protective than those herein.

Confidentiality shall survive termination of this Agreement for years, except for Confidential Information that constitutes a trade secret under applicable law, in which case protection shall continue for as long as the information remains a trade secret.

Limitation of Liability

Except for liability arising from gross negligence, willful misconduct or breach of confidentiality, neither party shall be liable to the other for incidental, consequential, special or punitive damages. Organizer's aggregate liability for any claim arising out of this Agreement shall not exceed the Total Fee paid by Client to Organizer for the retreat that is the subject of the claim.

Force Majeure

Neither party shall be liable for delays or failures in performance due to causes beyond its reasonable control, including but not limited to acts of God, government action, pandemics, strikes, or natural disaster. The affected party shall promptly notify the other and make commercially reasonable efforts to resume performance.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties shall attempt in good faith to resolve disputes by negotiation; if unresolved within forty-five (45) days, the dispute may be submitted to binding arbitration in the same state unless otherwise mutually agreed.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties regarding the retreat and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by an authorized representative of each party.

Notices

Notices under this Agreement shall be given in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Notice shall be effective upon personal delivery, three (3) days after deposit in the U.S. mail, or one (1) day after delivery to a nationally recognized overnight courier.

Miscellaneous

Each party represents and warrants that it has the authority to enter into this Agreement, and that performance will not violate any other agreement or obligation. If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
