BUSINESS RETREAT AGREEMENT

This Business Retreat Agreement ("Agreement") is entered into as of by and between Organizer Name: and Retreat Provider Name: .

WHEREAS

WHEREAS, Organizer is arranging a corporate retreat for the Organizer's employees and invited guests for the purposes of strategic planning, team development, and related business activities; and

WHEREAS, Provider operates or arranges facilities, lodging, meals, meeting space, facilitators and related services suitable for such a retreat and is willing to provide those services on the terms and conditions set forth herein.

WHEREAS, the parties desire to set forth the scope, payment, and other material terms that will govern the retreat.

SCOPE OF WORK

Provider shall furnish the facilities, accommodations, food and beverage services, meeting rooms, basic AV equipment, on-site coordination, and other services as specified below. Provider shall perform such services in a professional manner consistent with industry standards and the needs of Organizer.

PAYMENT TERMS

Organizer agrees to pay Provider the fees described in this section in exchange for the services set forth in this Agreement. All amounts are payable in United States dollars unless otherwise agreed in writing.

All sums past due shall accrue interest at the greater of the late fee rates set above or the maximum rate permitted by law. Organizer shall be responsible for reasonable collection costs, including attorney fees, incurred by Provider to collect overdue amounts.

TERM AND TERMINATION

This Agreement commences on Start Date: and shall terminate on End Date: unless earlier terminated as provided below.

If Organizer cancels within the notice period and any non‑refundable deposits have been paid, those deposits are forfeited. Provider may terminate immediately for material breach that is uncured within the agreed cure period.

CONFIDENTIALITY

Each party acknowledges that during the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means nonpublic information disclosed in any form that is designated confidential or that a reasonable person would understand to be confidential under the circumstances.

Each party shall: (a) use Confidential Information only for the purposes of performing under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but not less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees, contractors or professional advisors who have a need to know and are bound by confidentiality obligations no less protective than those herein. Confidential obligations survive termination for a period of years.

INSURANCE, INDEMNITY AND LIABILITY

Provider shall maintain commercial general liability insurance and, if providing lodging or transportation, appropriate premises and transportation insurance. Organizer shall maintain business liability insurance covering Organizer's activities and attendees. Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims to the extent arising from the indemnifying party's negligence or willful misconduct.

CANCELLATION; FORCE MAJEURE

If cancellation occurs as a result of events beyond a party's reasonable control (force majeure), including but not limited to natural disaster, epidemic, governmental orders, or unanticipated travel restrictions, the affected party shall notify the other promptly. The parties shall cooperate to reschedule or otherwise mitigate losses in good faith. If rescheduling is not agreed within a commercially reasonable period, cancellation charges shall be allocated in accordance with the schedule set out in the payment terms.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Venue for any dispute arising under this Agreement shall be in the state or federal courts located in the same State, unless the parties otherwise agree in writing.

ENTIRE AGREEMENT

This Agreement, including any attachments, exhibits, or statements of work expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, negotiations and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision. The headings in this Agreement are for convenience only and shall not affect interpretation. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets.
