What a Business Review and Approval document is

A Business Review and Approval is an internal governance record that documents a formal evaluation, decision rationale, and sign-off for a proposed transaction, expense, contract, or project milestone. It typically lists the requester, scope, financials, risks, supporting attachments, and the approvers with role, title, and signature lines. The document establishes an auditable decision trail used by finance, legal, and compliance teams to confirm authority, timing, and any conditions attached to approval.

Why this document matters for governance and control

A clear Business Review and Approval creates an auditable record of who authorized a decision, why it was made, and which conditions apply. It helps enforce delegation limits, supports financial controls, and reduces downstream disputes by recording dates, amounts, and required follow-up actions.

Why this document matters for governance and control

Who typically prepares and signs a Business Review and Approval

Multiple internal roles collaborate on this document: requester, reviewer, approver, and records custodian.

  • Requesters (project managers, procurement) — prepare justification, attach estimates or contracts, and confirm budget availability.
  • Finance and accounting reviewers — verify cost center coding, tax treatment, and budget impact before recommending approval.
  • Senior approvers (directors, VPs, CFO) — confirm authority limits and sign to authorize obligations or disbursements.

Assign clear ownership for preparation, review, and retention to avoid gaps during audits and handoffs.

Essential sections to include in a professional Business Review and Approval

A consistent structure reduces review time and improves clarity. Include standard sections so reviewers can find key facts quickly.

Cover summary

One-page executive summary that states the request, dollar amount, decision sought, and high-level rationale for rapid reviewer assessment.

Scope and deliverables

Clear description of goods or services, milestones, deliverables, and any dependencies that affect cost, schedule, or acceptance criteria.

Financial details

Line-item cost breakdown, budget code, payment terms, and whether the amount requires capital approval versus operating expenditure authorization.

Risk and compliance

Identified legal, regulatory, tax, or vendor risks and proposed mitigations, including required contract clauses or insurance requirements.

Approvals matrix

Defined approval chain with names, titles, authority limits, signature blocks, and escalation steps when thresholds are exceeded.

Attachments

Supporting documents such as quotes, contracts, vendor W-9, proposals, and internal budget approvals needed to validate the request.

Key data fields required on the form

Document title: Business Review and Approval
Requester: Full legal name
Department: Cost center or unit

Approver lines: Name, title, signature

Step-by-step: completing a Business Review and Approval

Follow this sequence to prepare, route, and finalize the approval with minimal rework.

  • 01
Draft request: Enter requester, scope, and cost details accurately.
  • 02
Attach evidence: Add quotes, contracts, and supporting budgets.
  • 03
Route for review: Send to finance and legal for comment.
  • 04

Configuring an online approval workflow

Set up consistent routing and authentication so approvals are trackable and enforce policy automatically.

Field Configuration
Routing order Sequential or parallel based on dollar thresholds
Signer authentication Email link, SMS code, or advanced verification
Auto reminders Set reminders at defined intervals
Storage location Designated secure repository with retention policy

Where to file or send the completed approval

Determine final document destinations to meet audit and operational needs.

  • Finance system: Attach to the transaction record in the ERP.
  • Legal repository: Store contract approvals with the signed agreement.
  • Project file: Place a copy in project management records.
  • Archive storage: Retain final signed version per retention schedule.

Technical considerations for digital approvals

Choose a platform that supports audit logs, common integrations, and secure storage while matching your authentication needs.

  • Integrations: Salesforce, NetSuite, Microsoft 365, Google Workspace
  • Document formats: PDF, DOCX, HTML, Excel
  • Security: TLS in transit, AES-256 at rest

Ensure the chosen system records timestamps, signer identity, and an unalterable audit trail to support internal controls and future audits.

Typical timelines and processing expectations

Define clear SLAs for each stage to prevent approval delays and to trigger escalations when needed.

Initial review window:

2–3 business days for finance/legal review

Approver SLA:

5 business days for authorized signers

Escalation timeframe:

Escalate after 7 business days without action

Effective date enforcement:

Approval date governs payment and contract start

Archiving schedule:

Move final file to archive within 10 business days

Common mistakes to avoid when preparing approvals

  • Incomplete financial breakdowns that lack line-item support cause review delays and requests for rework.
  • Missing or mismatched approver authority — approvals from personnel without delegated authority invalidate internal controls.
  • Unattached supporting documents (quotes, contracts, W-9) force reviewers to pause approval and can delay payments.
  • Incorrect dates or ambiguous effective dates create disputes about obligation start and billing periods.

Practical risks and consequences of incorrect approvals

Invalid authorization: May lead to contract unenforceability
Audit findings: Control weaknesses and financial restatements
Tax exposure: Incorrect classification can trigger liabilities
Payment delays: Missed vendor terms and late fees
Contract breach: Unapproved commitments can be repudiated
Data security: Improper storage risks unauthorized access
