What a Business Review Letter Is

A Business Review Letter documents a formal review of an entity's financial, operational, or compliance status for a defined reporting period. It summarizes scope and methodologies, highlights material findings and variances, sets out identified risks and recommended actions, and records approvals or acknowledgements. The letter creates an auditable record for internal governance, external stakeholders, and regulators and is often paired with supporting schedules and source documents for traceability and review.

Why a Business Review Letter Matters

A Business Review Letter establishes a clear, auditable record of findings, responsibilities, and corrective actions, supporting governance, audit readiness, and lender or investor oversight. It reduces ambiguity, documents who is accountable, and helps preserve evidence needed for regulatory or third-party reviews.

Why a Business Review Letter Matters

Who Prepares and Receives These Letters

Internal audit, finance, compliance officers, lenders, board members, and senior management commonly prepare or review Business Review Letters during routine oversight or special investigations.

  • Internal audit teams — summarize findings, assign corrective actions, and document approvals for follow-up.
  • Finance departments — provide schedules, reconciliations, and variance explanations that substantiate conclusions.
  • External lenders or investors — use the letter to evaluate covenant compliance and material operational changes.

Distribution should be proportionate to need-to-know and include lists for routing, acknowledgements, and retention custodians to avoid gaps in accountability.

Well-constructed Business Review Letters define scope, present evidence-based findings, and record decisions so stakeholders can rely on a clear audit trail and follow remediation steps.

Supporting Schedules
