WHEREAS, Requester is engaged in the operation or management of the business identified above and seeks an independent, written review of specified business practices, financial condition, operational risks and recommended remedial actions; and

WHEREAS, Reviewer possesses expertise and experience in conducting business reviews and has agreed to perform the services described in this Business Review Request in accordance with the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth the scope, schedule, fees and confidentiality obligations that will govern the requested review.

Late Payment: In the event any sum payable hereunder is not paid within days after the due date, interest shall accrue at % per month on the outstanding balance, compounded monthly, together with all collection costs, including reasonable attorneys' fees, incurred by the Reviewer.

Either party may terminate this engagement for cause upon written notice to the other party if the other party fails to cure a material breach within days after receipt of written notice specifying the breach. Either party may terminate for convenience upon days' prior written notice. Upon termination, Reviewer shall deliver all work in progress and Requester shall pay for all services rendered and costs incurred through the effective date of termination.

Confidentiality

Each party agrees that all non-public information disclosed by one party to the other in connection with this engagement that is designated confidential or should reasonably be understood to be confidential given the nature of the information ("Confidential Information") shall be held in strict confidence and shall not be disclosed to third parties except as expressly permitted in this Agreement. Confidential Information does not include information that: (a) is or becomes public without breach of this Agreement; (b) was lawfully in the receiving party's possession prior to disclosure; (c) is received from a third party without breach of any obligation of confidentiality; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party may disclose Confidential Information to its employees, agents or professional advisors who have a need to know for purposes of performing the review, provided such persons are bound by confidentiality obligations no less protective than those set forth herein. The receiving party shall take reasonable measures to protect the confidentiality of the Confidential Information and shall be liable for any unauthorized disclosure or use by persons to whom it provides access.

Governing Law; Entire Agreement

Governing Law: This Business Review Request shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Entire Agreement: This document constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings and agreements, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Independent Contractor: Reviewer shall perform the services as an independent contractor and nothing in this Agreement shall be construed to create a partnership, joint venture, employment relationship or agency between the parties.

Limitation of Liability: Except to the extent prohibited by applicable law, in no event shall either party be liable for special, incidental, consequential or punitive damages arising out of or related to this Agreement. The aggregate liability of Reviewer for any claim related to this Agreement shall not exceed the fees paid by Requester to Reviewer under this Agreement.
