Confidentiality

Definition: "Confidential Information" means non-public business, financial and operational information disclosed by Client to Reviewer in connection with this engagement, whether oral, written or electronic.

Obligations: Reviewer shall (i) hold Confidential Information in strict confidence, (ii) use Confidential Information solely to perform the Scope of Work, and (iii) not disclose Confidential Information to third parties except to Reviewer's employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations at least as restrictive as those herein.

Exceptions: Confidential Information does not include information that is or becomes generally available to the public other than through a breach of this obligation, is independently developed by Reviewer without reference to Client Confidential Information, or is rightfully obtained by Reviewer from a third party without confidentiality obligations. Disclosure required by law or regulation shall be made only after Reviewer provides prompt written notice to Client, to the extent permitted.

Limitation of Liability

To the maximum extent permitted by law, the aggregate liability of Reviewer for any claim arising out of or relating to this Summary shall not exceed the total fees paid by Client under this engagement. In no event will Reviewer be liable for incidental, consequential, special or punitive damages arising out of or relating to this engagement.

Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Any legal action shall be brought in the state or federal courts located within that State.

Entire Agreement; Amendments

This Business Review Summary, together with any signed engagement letter and appended schedules, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings. Any modification or amendment must be in writing and signed by authorized representatives of both parties.
