BUSINESS REVISED AGREEMENT

This Business Revised Agreement ("Agreement") is entered into effective as of by and between Client Name: and Contractor Name: .

WHEREAS

WHEREAS, the parties previously entered into a written agreement titled , dated (the "Original Agreement");

WHEREAS, the parties desire to revise certain terms of the Original Agreement and to set forth the revised obligations, payment terms, and other provisions in this Agreement governing their business relationship.

SCOPE OF WORK

The Contractor shall perform the services and deliverables described below in a competent and workmanlike manner in accordance with industry standards.

PAYMENT TERMS

Client agrees to pay Contractor for the revised scope as set forth below. All payments are due in United States dollars unless otherwise stated in writing.

Unless otherwise expressly set forth, late payments shall accrue interest at the rate specified above and Client shall be responsible for all reasonable collection costs, including attorney fees, incurred by Contractor to collect overdue amounts.

TERM AND TERMINATION

The revised term of this Agreement shall commence on and shall continue until , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if such breach remains uncured for the notice period specified above following written notice identifying the breach. Termination shall not relieve Client of obligations to pay for work performed prior to termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Each party shall (a) maintain the confidentiality of Confidential Information of the other party with at least the same degree of care it uses to protect its own confidential information, and (b) not use or disclose such Confidential Information except as necessary to perform obligations under this Agreement or as required by law.

Confidential Information does not include information that is: (i) already known to the receiving party at the time of disclosure; (ii) becomes generally available to the public through no wrongful act of the receiving party; or (iii) independently developed by the receiving party without use of the disclosing party's Confidential Information.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by notice in accordance with this section.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles.

AMENDMENT; ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, and understandings, whether written or oral, relating to such subject matter. This Agreement amends and modifies the Original Agreement only to the extent expressly set forth herein; all other terms of the Original Agreement remain in full force and effect.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. No waiver by either party of any breach shall constitute a waiver of any other breach. The parties agree that monetary damages may be inadequate and that injunctive relief may be appropriate to enforce the confidentiality obligations and other material provisions.
