NOW, THEREFORE, in consideration of the foregoing and the mutual covenants set forth in this Agreement, the parties agree as follows:

SCOPE OF WORK

The Contractor shall perform the services described above in a professional manner in accordance with industry standards and shall supply all labor, materials, equipment, supervision, and permits necessary to complete the services, except as otherwise specifically provided in writing in this Agreement.

PAYMENT TERMS

Compensation: Client agrees to pay Contractor a total fee of $ (the "Fee") for the services described in this Agreement.

Late Payment: Any undisputed amount not received within days after the due date shall accrue interest at a rate of per month, or the maximum rate permitted by law if lower. In addition to interest, Client shall be responsible for reasonable collection costs, including attorney fees, if applicable.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall continue in effect until , unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the effective date of termination. Termination shall not relieve Client of its obligation to pay for work performed to the date of termination.

CONFIDENTIALITY

Each party (the "Recipient") shall hold in strict confidence all non-public, proprietary, or confidential information disclosed by the other party (the "Discloser") and shall not disclose such information to any third party or use it for any purpose other than performing obligations under this Agreement. Confidential information shall not include information that: (a) is or becomes publicly available through no fault of Recipient; (b) was rightfully in Recipient's possession without restriction prior to receipt from Discloser; (c) is rightfully received from a third party without breach of an obligation of confidentiality; or (d) is independently developed by Recipient.

Duration: The obligations of confidentiality shall survive termination of this Agreement for a period of years, except with respect to trade secrets, which shall remain protected for so long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for the resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT; MISCELLANEOUS

Entire Agreement: This Agreement, including all attachments and written amendments executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral.

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.

Amendment: No amendment to this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
