BUSINESS RFDS DOCUMENT

Parties and Recitals

This Business RFDS Document (the Agreement) is made effective as of between Client Name: and Service Provider Name: .

WHEREAS, Client requires certain deliverables, reports, designs, specifications and related services described in this Agreement (the Services); and

WHEREAS, Service Provider represents that it has the qualifications, experience and personnel necessary to perform the Services in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth the terms by which Service Provider will perform the Services and deliver associated deliverables to Client.

Contact and Entity Information

Scope of Work

Service Provider shall perform the Services and provide the Deliverables described below. The Services shall include, at a minimum, the tasks, deliverables, acceptance criteria, timelines and any milestones set forth in this section.

Acceptance: Client shall have days after delivery of each Deliverable to inspect and either accept or reject the Deliverable for material nonconformance. If Client does not provide written notice of rejection within the inspection period, the Deliverable will be deemed accepted.

Payment Terms

Compensation: Client shall pay Service Provider a total fee of $ for the Services, subject to adjustments made in accordance with this Agreement.

Invoices are due within days of invoice receipt. Overdue amounts shall accrue interest at the lesser of (a) a rate of % per month or (b) the maximum rate permitted by applicable law, plus reasonable collection costs.

Term and Termination

Term: This Agreement commences on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Service Provider shall deliver all completed Deliverables and any work in progress subject to payment for work performed through the effective date of termination, subject to Client's rights of set off for defective or nonconforming work.

Confidentiality

Definition: "Confidential Information" means information disclosed by one party to the other that is designated as confidential or that, by its nature, would reasonably be considered confidential, including pricing, technical data, business plans and trade secrets.

Obligations: Each party agrees to hold Confidential Information in strict confidence, to use it solely for performance under this Agreement, and not to disclose it to third parties except to employees, contractors and advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement.

Duration: Confidentiality obligations shall continue for years from the date of disclosure, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

Intellectual Property and Deliverables

Ownership: Unless otherwise agreed in writing, Service Provider grants to Client a perpetual, non-exclusive, worldwide right to use, reproduce and modify Deliverables provided as part of this Agreement, subject to Client's payment in full. Service Provider retains ownership of pre-existing tools, methodologies and intellectual property used to develop the Deliverables.

License Back: If Service Provider incorporates any of its pre-existing materials into the Deliverables, Service Provider grants Client a non-exclusive, royalty-free license to use such pre-existing materials solely as embodied in the Deliverables.

Warranties, Indemnity and Limitation of Liability

Service Provider warrants that the Services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT FOR THE FOREGOING, ALL OTHER WARRANTIES ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Indemnity: Each party shall indemnify and hold the other harmless from third-party claims arising out of the indemnifying party's gross negligence, willful misconduct or material breach of its obligations under this Agreement.

Limitation of Liability: Except for liability arising from willful misconduct or indemnity obligations, neither party's aggregate liability for claims arising under this Agreement shall exceed the total amounts paid by Client to Service Provider under this Agreement in the twelve (12) months preceding the claim.

Governing Law and Dispute Resolution

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles.

Disputes: The parties will attempt in good faith to resolve disputes arising out of or relating to this Agreement through negotiation. If unresolved within sixty (60) days, disputes may be submitted to mediation or another mutually agreed non-binding process prior to initiating litigation.

Entire Agreement and Amendments

Entire Agreement: This Agreement, including any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the Services and supersedes all prior and contemporaneous proposals, negotiations, representations and agreements, whether written or oral.

Amendments: No amendment, modification or waiver of any provision of this Agreement shall be valid unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a sale of substantially all assets or equity.

Notices: Notices under this Agreement shall be in writing and delivered to the contact addresses provided above, and shall be effective upon receipt.
