TERM AND TERMINATION

This RFI and the obligations set forth commence and terminate as follows:

Either party may terminate this RFI for convenience upon advance written notice as provided above. Termination for cause may be effected immediately where the non-terminating party demonstrates material breach, fraud, or willful misconduct that remains uncured after a reasonable opportunity to cure.

CONFIDENTIALITY

All information designated as confidential by either party or that by its nature reasonably should be considered confidential ("Confidential Information") shall be maintained in confidence by the receiving party and used solely for purposes of evaluating or responding to this RFI. Receiving party shall not disclose Confidential Information to any third party except to its employees, consultants or advisors who have a legitimate need to know and who are bound by confidentiality obligations at least as protective as those herein.

Confidential Information does not include information which: (a) is or becomes publicly known without breach of this agreement; (b) is rightfully received from a third party without restriction; (c) is independently developed by the receiving party without use of Confidential Information; or (d) is required to be disclosed by law, provided the disclosing party is given prompt notice and assistance in seeking protective relief. Upon written request, receiving party shall return or destroy Confidential Information and certify such return or destruction.

GOVERNING LAW

This RFI shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to its conflict of laws principles. The parties consent to exclusive venue in the courts of that jurisdiction for disputes arising from this RFI.

ENTIRE AGREEMENT

This RFI, including any attachments and written clarifications issued prior to submission, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, whether written or oral. No amendment or modification shall be binding unless executed in writing by authorized representatives of both parties.

ADDITIONAL PROVISIONS

Each party represents and warrants that it has the full right, power and authority to enter into and perform its obligations under this RFI. Remedies for breach include injunctive relief, specific performance, and any other remedies available at law or in equity.
