Issuing Company will make payments within the number of days set forth in the negotiated contract following receipt of an undisputed invoice and acceptance of the related deliverable(s).

Either party may terminate a resulting contract for cause upon written notice if the other party materially breaches any material obligation and fails to cure such breach within the notice period specified above. Issuing Company may terminate for convenience upon providing the notice period and will compensate the selected proposer for work performed and reasonable costs incurred through the effective date of termination, subject to the terms of the final contract.

Confidentiality

Proposers shall treat all non-public information provided by Issuing Company in connection with this RFP as confidential. Proposer acknowledges that Confidential Information includes technical, financial, operational and other data identified as confidential by Issuing Company. Proposer agrees not to disclose or use Confidential Information except as necessary to prepare and submit a proposal or to perform under any subsequent agreement and agrees to implement reasonable safeguards to protect such information.

By submitting a proposal, Proposer certifies their agreement to comply with the confidentiality obligations above and agrees to execute any additional non-disclosure agreement requested by Issuing Company prior to commencement of contract negotiations.

Governing Law; Entire Agreement

Governing Law: The terms of any resulting contract between Issuing Company and the selected proposer shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to its conflict of laws principles.

Entire Agreement: The RFP, the selected proposer's proposal as accepted in writing, and any subsequently executed written agreement shall constitute the entire agreement between the parties with respect to the subject matter and shall supersede all prior oral or written communications. No amendment will be effective unless in writing and executed by authorized representatives of both parties.

Evaluation and Award

Issuing Company reserves the right to reject any or all proposals, waive informalities or irregularities, request clarifications, and negotiate with one or more proposers. Notification of award will be made in writing to the selected proposer and will be contingent upon satisfactory contract negotiations and proof of required insurance and credentials.
