RECITALS

WHEREAS, Client Name: has issued a request for proposals to procure services or deliverables described in this Proposal; and

WHEREAS, Proposer Name: has prepared this Proposal offering to provide the goods and services in accordance with the terms and conditions set forth herein; and

WHEREAS, the parties intend that, upon acceptance by Client, this Proposal will form the basis for a binding agreement for the described scope of work under the terms set forth below.

SCOPE OF WORK

The Proposer shall perform and deliver the services, tasks, and deliverables described below. The Proposer warrants that the work will be performed in a professional manner consistent with industry standards and the schedule agreed by the parties.

PAYMENT TERMS

Client will pay Proposer the fees set forth in this Proposal in consideration for accepted deliverables. All fees are subject to the provisions below relating to invoicing, taxes, and late payment.

Proposer shall submit invoices upon completion of each invoiceable milestone. Client shall pay invoiced amounts within days of receipt of a proper invoice, unless Client disputes an invoice in good faith. Payment shall be made in United States Dollars unless otherwise agreed in writing.

Amounts not paid when due shall accrue interest at percent per month, or the maximum legal rate if lower. Client is responsible for all reasonable collection costs, including attorneys' fees.

Provide line-item costs for primary deliverables and labor categories. Include rates, quantities, and applicable expenses.

TERM & TERMINATION

This Proposal, when accepted, shall commence on Start Date: and shall continue until End Date: unless earlier terminated pursuant to this section.

Either party may terminate for cause upon material breach by the other party if the breach is not cured within days following written notice. Either party may terminate for convenience upon days' prior written notice to the other party. Termination shall not relieve Client of the obligation to pay for work performed and accepted through the effective date of termination.

CONFIDENTIALITY

Each party agrees to keep confidential and not disclose to any third party any Confidential Information of the other party disclosed in connection with this Proposal. "Confidential Information" means non-public, proprietary information designated as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential Information does not include information that is publicly available through no fault of the receiving party, independently developed without use of the disclosing party's Confidential Information, or rightfully obtained from a third party without restriction.

The receiving party shall protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Disclosure to employees, contractors, or advisors is permitted on a need-to-know basis provided such persons are bound by confidentiality obligations consistent with this section.

GOVERNING LAW

This Proposal and any agreement resulting from its acceptance shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising under this Proposal, subject to any agreed dispute resolution provisions.

ENTIRE AGREEMENT

This Proposal, together with any attachments, schedules, and the parties' written acceptance, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
