RECITALS

WHEREAS, Provider possesses specialized expertise and capabilities to perform advisory, implementation and related services described herein and has the personnel, knowledge and resources necessary to provide such services; and

WHEREAS, Recipient desires to engage Provider to perform certain services on the terms and conditions set forth in this Agreement and Provider agrees to perform such services for Recipient in accordance with this Agreement; and

WHEREAS, the parties intend that this Agreement establish the scope, deliverables, payment terms and legal protections applicable to the relationship between Provider and Recipient.

SCOPE OF WORK

Deliverables: Provider shall deliver the items and/or perform the tasks set forth in the Scope of Work above in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Invoices shall be rendered in accordance with the Payment Schedule and are payable within days of receipt, unless otherwise agreed in writing. All amounts are payable in lawful currency of the United States unless otherwise specified.

Late payments shall incur interest at a rate of % per month (or the maximum permitted by law), and a minimum late fee of will apply to each overdue invoice. Recipient shall also reimburse Provider for reasonable collection costs, including attorneys' fees, incurred in collecting past due amounts.

Either party may terminate this Agreement for convenience upon prior written notice to the other party of at least days. Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Definition: "Confidential Information" means nonpublic, proprietary or confidential information disclosed by one party (Disclosing Party) to the other (Receiving Party), whether disclosed orally or in writing, including business plans, financial information, technical data, trade secrets, customer lists, and any analyses, compilations, or other documents derived from such information.

Obligations: The Receiving Party shall (i) hold Confidential Information in strict confidence, (ii) not disclose Confidential Information to any third party except as expressly permitted in this Agreement, and (iii) use Confidential Information solely to perform its obligations under this Agreement. The Receiving Party shall take reasonable measures to protect the confidentiality of such information, no less than those it uses to protect its own confidential information of a similar nature.

Exceptions: Confidential Information does not include information that (a) is or becomes publicly available without breach of this Agreement, (b) is already in the Receiving Party's possession at the time of disclosure, (c) is rightfully received from a third party without restriction, or (d) is independently developed without use of or reference to Confidential Information. Disclosure required by law or valid legal process shall not constitute a breach, provided the Receiving Party gives prompt notice to the Disclosing Party to allow a protective order or other remedy.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement (including all exhibits and attachments) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. No modification, amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Relationship of the Parties: The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship. Neither party shall have authority to bind the other except as expressly provided in this Agreement.

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Provider may assign this Agreement in connection with a sale of all or substantially all of Provider's business or assets.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
