Recitals

WHEREAS, RIA Firm: is duly authorized to provide investment advisory, compliance consulting, and related business services to institutional and private clients; and

WHEREAS, Client Name: desires to retain the RIA Firm to perform the services described below upon the terms set forth in this Agreement effective as of .

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Payment Terms

All fees are exclusive of taxes and reimbursement of reasonable out-of-pocket expenses incurred by RIA Firm in connection with performance of services, which shall be invoiced separately and payable in accordance with the payment terms above.

Term and Termination

Term: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice to the other party if the other party materially breaches any provision of this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

Upon termination, RIA Firm shall promptly deliver to Client all work product and shall be entitled to payment for services performed through the effective date of termination, including any non-cancellable obligations.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party, without the prior written consent of the other party (the "Disclosing Party"), any non-public information obtained from the Disclosing Party in connection with this Agreement, including business, financial, technical, and client information ("Confidential Information"), except as required by law or as necessary to perform under this Agreement and subject to customary confidentiality protections.

Representations and Compliance

Each party represents and warrants that it has full corporate or other power and authority to enter into this Agreement and to carry out its obligations hereunder, and that its execution and performance of this Agreement will not violate any applicable law, regulation, or contractual obligation.

Compliance with Applicable Law: RIA Firm represents that, to the extent applicable, it will perform services in compliance with applicable securities and fiduciary standards and will maintain all registrations, licenses, and qualifications required by law to deliver the services described herein.

Governing Law and Dispute Resolution

Any dispute arising out of or relating to this Agreement shall be resolved by the courts of the state indicated above, and the parties submit to the exclusive jurisdiction and venue of those courts. The prevailing party in any such dispute shall be entitled to recover reasonable attorneys' fees and costs.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings, proposals, negotiations, and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.
