Parties

This Business RIB Document (the "Agreement") is entered into by and between:

Recitals

WHEREAS, Client engages Service Provider to perform certain services described in this Agreement and to remit payments to the bank account designated by Service Provider; and

WHEREAS, Service Provider has provided a RIB (bank account identification) to enable direct deposits, wire transfers, and other electronic payments for amounts due under this Agreement; and

WHEREAS, the parties desire to set forth the terms governing the use, verification, security, and authorization of the provided bank account details.

Scope of Work

Service Provider shall perform the services described below. The parties acknowledge that the accuracy of the RIB details supplied by Service Provider is essential for timely payment.

Business RIB / Bank Account Details (to be used for payments)

Service Provider certifies that the following banking information is accurate and that Service Provider is authorized to receive funds into the account listed below.

Payment Terms

Client will make payments to the bank account provided by Service Provider in accordance with the following terms and schedule. Payments will be made in the currency specified above unless otherwise agreed in writing.

All fees and charges related to bank transfers, including intermediary bank fees, shall be borne by the payer unless otherwise agreed in writing. Client may verify account ownership and accuracy prior to initiating first payment; any costs of verification shall be borne by the requesting party.

Term and Termination

This Agreement commences on the date set forth below and continues until the completion of the services or termination in accordance with this Section.

Either party may terminate this Agreement for material breach upon written notice if the breach remains uncured after the notice period set forth above. Termination does not relieve either party of obligations accrued prior to termination, including payment for services performed.

Confidentiality

Each party shall maintain in confidence all non-public business and financial information disclosed by the other party in connection with this Agreement, including but not limited to account details, payment records, pricing, and trade secrets. Confidential information shall not be disclosed except to those employees, advisors, or contractors with a need to know and who are bound by obligations of confidentiality no less protective than those herein.

Representations and Warranties; Authorization

Service Provider represents and warrants that the bank account information provided is true and correct, that Service Provider is the lawful owner of the account or is otherwise authorized to receive payments to that account, and that no privacy, anti-money laundering, or contractual restriction prohibits receipt of funds. Service Provider authorizes Client to initiate deposits or credit transfers to the account identified in this Agreement for amounts due under the Payment Terms.

I certify that the bank account details provided herein are accurate, that I am authorized to provide these details and to receive payments on behalf of the Service Provider, and I will notify Client promptly of any changes.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws chosen by the parties and reflected in the signature block below. The parties agree that any dispute arising hereunder shall be resolved by the competent courts within the selected jurisdiction.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written, concerning the same subject matter. Any amendment must be in writing and signed by both parties.
