What the Business RICs Template Is and When It’s Used

The Business RICs Template is a standardized form used to collect and document the information required for entities qualifying or operating as Regulated Investment Companies (RICs) or similar pooled-investment vehicles in a business context. It centralizes entity identifiers, tax elections, fiscal year details, contact and compliance contacts, and signature blocks so legal, tax, and compliance teams can assemble a complete administrative record for filings, audits, or internal governance. The template is designed to be adapted for state incorporation records, IRS reporting, trustee or board approvals, and institutional onboarding workflows while preserving an audit trail for review and retention.

Why a Consistent RICs Template Matters for Businesses

A consistent template reduces errors, ensures critical tax and regulatory data is captured every time, and creates a single authoritative source for signatory and governance evidence. It helps legal, finance, and compliance teams verify RIC eligibility and supports faster reviews during audits or regulatory inquiries.

Why a Consistent RICs Template Matters for Businesses

Teams and Roles That Typically Use This Template

The Business RICs Template is typically completed by a small set of cross-functional roles responsible for entity formation, tax elections, compliance, and investor onboarding.

  • Tax and accounting teams preparing Subchapter M or similar tax elections and recordkeeping for pooled investment entities.
  • Legal and compliance counsel documenting board approvals, trustee designations, and regulatory filings.
  • Corporate secretarial or formation teams handling state filings, registered agent details, and entity records.

Use this template as a shared intake document so each stakeholder contributes required fields before signatures are collected and the final record is retained.

Core Sections to Include in a Professional Business RICs Template

A robust template groups information by purpose: entity identity, tax elections, governance authorizations, financial reporting period, supporting attachments, and signature/approval evidence.

Entity Identity

Legal name, DBA (if any), state of formation, and Federal EIN so authorities and counterparties can unambiguously identify the entity.

Tax Election Details

Record of RIC election or tax treatment, effective election date, fiscal year end, and citations to the controlling election form or governing statute when applicable.

Governance Approval

Resolution language or board minutes authorizing the RIC election, including approval date, vote record, and persons authorized to sign documents.

Financial Contacts

Primary accounting contact, custodian/trustee names, auditor contact, and designated compliance officer for tax and SEC-related correspondence.

Supporting Attachments

Attach formation documents, operating agreements, board resolutions, and any trustee or custodian agreements referenced by the template.

Signature Evidence

Designated signers, signature dates, witness or notary blocks if required, and an audit trail showing signer authentication and timestamps.

Essential Data Points to Capture

Entity Name: Registered legal name
EIN: Nine-digit employer identification
Formation State: State of incorporation/formation
Fiscal Year End: MM/DD/YYYY
Authorized Signer: Name and title
Supporting Docs: List of attached exhibits

Step-by-Step: Completing the Business RICs Template

Follow these steps in order to reduce rework and capture a complete compliance-ready record before signatures are collected.

  • 01
Gather Documents: Collect formation, operating agreement, and prior election records.
  • 02
Enter Entity Data: Populate legal name, EIN, formation state, and fiscal year end.
  • 03
Attach Exhibits: Upload board resolutions and trustee agreements referenced in the template.
  • 04
Authorize and Sign: Have authorized signers execute and date the signature block with witness or notary if required.

Where to Submit the Completed Template

After completion and signature, route the template to appropriate recipients depending on the use case: internal record, state filing, IRS notice, or custodian onboarding.

  • Internal Records: Save to corporate minute book and entity records repository.
  • Tax Filings: Provide supporting documentation to accountants for any required IRS filings.
  • Custodian Onboarding: Send to the custodian or trustee along with KYC documents.
  • Regulatory Filings: Provide to counsel if an SEC or state regulator filing is necessary.

Digital Signing and eSubmission Considerations

Use a secure eSignature workflow that preserves signer attribution, timestamps, and an immutable audit trail for the Business RICs Template.

  • File Formats: PDF or DOCX preferred
  • Authentication: Email + optional SMS or KBA
  • Integrations: CRM and document storage systems

Choose a platform that supports audit logs, exportable signed PDFs, and compliance features appropriate to your industry and regulatory requirements.

How to Configure an Online RICs Workflow

Set up fields and routing to match your internal approval sequence and compliance checkpoints before sending for signature.

Field Configuration
Entity Name Field Required; single-line text
EIN Field Required; numeric validation
Attachments Field Optional; PDF upload allowed
Signature Field Required; signer and date

Common Timelines and Deadlines to Watch

Key deadlines depend on the action triggered by the template: tax filings, state filings, or internal governance schedules.

Tax Filing Windows:

Check accountant guidance for IRS filing deadlines tied to elections.

State Filing Timing:

State entity filings follow state-specific processing timelines.

Board Approval:

Obtain board or trustee resolutions before executing elections.

Signature Date:

Signature effective date controls timing for elections.

Record Retention:

Begin retention clock at signature or filing date as applicable.

Common Mistakes to Avoid When Preparing the Template

  • Entering an incorrect EIN or mismatched legal name, which can trigger IRS notices and backup withholding.
  • Omitting the effective election date or failing to attach the authorizing board resolution required to support the tax position.
  • Using initials or shorthand in signature blocks when full authorized signer names and titles are required by custodians or regulators.
  • Failing to route the completed template through the organization’s compliance reviewer before external submission.

Key Legal and Financial Risks of Errors

IRS Notices: Delays and information requests
Backup Withholding: Triggered by incorrect TINs
Filing Penalties: Penalties under IRC §6721 possible
Contract Rejection: Custodians may refuse unsigned or unauthorized records
Audit Exposure: Incomplete records increase scrutiny
Operational Delay: Onboarding or funding postponed
