BUSINESS RIGHTS AND RESPONSIBILITIES DOCUMENT

Parties and Effective Date

This Business Rights and Responsibilities Document (the "Agreement") is entered into effective as of (the "Effective Date") by and between:

Recitals

WHEREAS, Party A is engaged in the business of providing certain goods and services and has agreed to grant and acknowledge certain rights and responsibilities to Party B as set forth herein; and

WHEREAS, Party B requires the rights and obligations described in this Agreement in connection with Party B's operation of its business activities and will perform the responsibilities described herein in consideration of the payments and other terms set forth below; and

WHEREAS, the parties desire to set forth the scope, compensation, confidentiality, termination rights and governing law applicable to the relationship between the parties.

Scope of Work

Party A shall provide the rights and Party B shall perform the responsibilities described below. The parties agree that the primary objectives, deliverables, performance standards and milestones are as set forth in the Scope of Work.

Payment Terms

In consideration for the rights granted and responsibilities performed, Party B shall pay Party A in accordance with the terms below. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

Payments not received within thirty (30) days of the applicable due date shall accrue interest at the rate specified above. The parties acknowledge that this remedy is cumulative and does not preclude recovery of costs and attorneys' fees incurred to collect late payments where permitted by law.

Term and Termination

This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Either party may also terminate for convenience upon providing the other party with the notice specified above; in such event, the terminating party shall be responsible only for payment for services performed and expenses incurred through the effective date of termination, except as otherwise agreed in writing.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other in connection with this Agreement that is designated as confidential or that, by its nature, should reasonably be understood to be confidential. Each party agrees:

(a) to hold Confidential Information of the other party in strict confidence and to use it only to perform obligations or exercise rights under this Agreement; (b) not to disclose Confidential Information to any third party except to employees, contractors or affiliates who have a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) to take reasonable measures to prevent unauthorized use or disclosure. Confidential Information does not include information that is or becomes generally available to the public through no breach of this Agreement, is rightfully received from a third party without restriction, or is independently developed without use of the other party's Confidential Information.

The obligations in this section shall survive termination or expiration of this Agreement for a period of three (3) years, except that trade secrets shall be protected for so long as they constitute trade secret under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to its principles of conflicts of law. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for resolution of any disputes arising out of or in connection with this Agreement.

Entire Agreement; Amendments

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment or modification shall be effective unless in writing and executed by authorized representatives of both parties.

Representations and Warranties; Remedies

Each party represents and warrants that it has all necessary corporate power and authority to enter into this Agreement and to perform its obligations hereunder. Except as expressly provided in this Agreement, neither party makes any other warranties, express or implied. Remedies under this Agreement are cumulative and in addition to any remedies available at law or in equity.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may specify in writing. Notices shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier.
